Job Description/Responsibilities
ABC Supply Co. is looking for an experienced attorney to join its Beloit, Wisconsin-based in-house Legal Department. The successful candidate will report to the Deputy General Counsel and will play a critical role in reviewing, drafting, negotiation, and improving processes related commercial contracts. This is a full-time, in-office position at our National Support Center in Beloit, Wisconsin.
Key Duties and Responsibilities:
  • Commercial Contracts Management: Leading the drafting, review, and negotiation of a wide range of commercial contracts, including supply chain agreements, service agreements, sales agreements, and non-disclosure agreements. Preparing and updating contract templates, standard form agreements, and standard form warranties.
  • Contract Negotiation: Working closely with internal stakeholders to drive contract negotiations with customers, vendors, and service providers, ensuring that terms align with business standards and objectives while mitigating legal and commercial risks. In this position, the successful candidate will play a pivotal role as part of the sales and procurement teams.
  • Contract Review Process: Overseeing and improving the processes for contract review within the Legal Department. Ensuring the timely review and approval of contracts and collaborate with cross-functional teams to streamline workflows and optimize contract turnaround times. Leading initiatives to enhance the efficiency and effectiveness of the contract management process, including implementation of new tools, systems, and templates to improve workflow and efficiency.
  • Legal Advice & Risk Management: Providing general legal advice, support, and services to ABC Supply and its subsidiaries and divisions on a broad range of topics and issues.
  • People Management: Managing and mentoring junior lawyers and contracts administrators involved in commercial contracts review.
  • Other duties as assigned.

Education and Experience:
  • Minimum 10 years of relevant legal experience in a law firm and/or corporate legal department.
  • Juris Doctorate degree from an ABA-accredited law school.
  • Licensed to practice law in a U.S. state or territory.

Minimum Qualifications:
  • Excellent communication skills, both verbal and written.
  • Experience with drafting and negotiating commercial agreements.
  • Strong legal research skills.
  • Strong presentation skills with the ability to persuade a wide range of audiences.
  • Attention to detail and accuracy.
  • Advanced organizational skills.
  • Ability to work independently and properly prioritize pending tasks.
  • Ability to plan and coordinate multiple projects at the same time.
  • An overall positive attitude and good interpersonal skills.
  • Ability to work with a wide range of personality types.
  • Self-motivated and able to work efficiently, both independently and with a team.

Preferred Qualifications:
  • Familiarity with contracts lifecycle management systems and, in particular, Ironclad.
  • Familiarity with Article 2 of the UCC and related matters.
