POSITION SUMMARY:
Corporate Counsel will serve as a trusted legal advisor to business leaders throughout the organization. Working closely with the Associate General Counsel, this position will be responsible for negotiating, drafting, and advising complex commercial agreements supporting Roeslein's engineering, procurement, construction (EPC), manufacturing, supply chain, and related business operations. The Corporate Counsel will provide strategic legal counsel on contract risk management, corporate governance, compliance initiatives, dispute avoidance, and cross-functional business activities while partnering with executive leadership, operations, project management, and finance teams to facilitate successful project execution and achieve the company's business objectives.
Responsibilities
ESSENTIAL DUTIES AND RESPONSIBILITIES:
Commercial Contracts & Transactions
  • Draft, review, negotiate, and manage a variety of commercial agreements, including construction, procurement, manufacturing, engineering, technology, vendor, customer, and professional services contracts.
  • Advise business leaders on legal and commercial risks associated with transactions and business operations.
  • Support domestic and international projects throughout the contract lifecycle.

Legal & Business Advisory
  • Provide day-to-day legal counsel on commercial, operational, and corporate matters.
  • Partner with cross-functional teams to identify risks and develop practical business solutions.
  • Balance legal considerations with operational and strategic business objectives.
  • Monitor legal and regulatory developments impacting the company's operations.

Corporate Governance & Risk Management
  • Support corporate governance activities, including entity management, board resolutions, and organizational documentation.
  • Assist with mergers and acquisitions, joint ventures, strategic investments, and other corporate transactions.
  • Support dispute avoidance, contract claims, and pre-litigation matters.
  • Coordinate with outside counsel as needed.

Process Improvement & Compliance
  • Assist in the development, updating and maintenance of contract templates, policies, and legal procedures.
  • Support compliance initiatives and risk management efforts across the organization.
  • Contribute to the continuous improvement of legal processes and business practices.

Qualifications
Required Qualifications:
  • Juris Doctor (J.D.) from an accredited law school.
  • Licensed to practice law in at least one U.S. jurisdiction and eligible to practice law in Missouri.
  • Minimum of 2 years of corporate transactional experience in a law firm or in-house legal department.
  • Experience drafting, reviewing, and negotiating commercial agreements.
  • Experience advising business stakeholders on legal and commercial matters.
  • Strong understanding of commercial contracting and risk management.
  • Excellent written, verbal, and negotiation skills.
  • Strong analytical and problem-solving abilities.
  • Ability to balance legal risk with business objectives.
  • Ability to communicate effectively with technical, operational, and executive stakeholders.
  • Strong organizational skills and ability to manage multiple priorities.
  • Must comply with Roeslein's core values for the safe and efficient operation of the business and maintain sound relationships among and with employees.

Experience with one or more of the following is preferred, but not required: engineering, construction, or EPC contracts; manufacturing or industrial operations; procurement and supply chain transactions; renewable energy or infrastructure projects; corporate governance; mergers and acquisitions; real estate transactions; commercial finance; government contracts; and international commercial transactions.
