The Role

As an M&A Associate, you'll support the full acquisition lifecycle - from sourcing and lead generation through NDAs, valuation, indicative offers and letters of intent, due diligence, and transaction close. The role is roughly 60% deal execution and 40% business development, though the mix shifts depending on where the team is in the M&A cycle.

You will be tasked with supporting M&A transactions and will be comfortable driving a cross-functional due diligence process - coordinating internal stakeholders and external advisors toward a close. You'll also gather key information on risks and opportunities and translate it into fact-based, well-reasoned insights on the valuation and structural impact of each acquisition. This is a fast-paced, entrepreneurial environment: strong candidates enjoy both the analytical rigor of modeling and valuation and the relationship-building side of sourcing deals.

The team works with colleagues across time zones globally, so some meetings will fall outside standard business hours. We offer a flexible, remote-friendly working environment. Expect occasional travel for conferences, in-person diligence, closings, and team meetings.

Responsibilities
  • Support the Director, M&A in the creation of the Portfolio's M&A strategy.
  • Execute the M&A transactions, including:
    • Analyze target businesses, including financial and operational performance, industry dynamics, and growth drivers.
    • Build and maintain detailed financial models and valuation analyses.
    • Identify risks and opportunities, and ensure they are assessed and presented in business cases.
    • Prepare and present indicative offers and letters of intent (LOIs).
    • Support the purchase agreement negotiation process.
    • Oversee cross-functional internal and external teams to drive the due diligence process.
    • Oversee the development of investment committee materials.
    • Support final negotiations, legal documentation, and transaction close.
  • Proactively identify, research, qualify, and engage with potential acquisition targets aligned with our strategic criteria.
  • Cultivate and manage relationships with company owners, advisors, and intermediaries.
  • Perform any other reasonable duties as required.
Qualifications
  • 2+ years of experience in M&A deal execution (investment banking, corporate development, private equity, or related).
  • Strong relationship management and business development capabilities, particularly with small to mid-sized, owner-operated businesses.
  • Experience in the software or technology sector is a strong asset.
  • Excellent attention to detail, with the ability to manage multiple priorities and meet tight deadlines in a dynamic environment.
  • Exceptional written and verbal communication skills.
  • Advanced proficiency in Excel and financial modeling, with a solid understanding of accounting principles.
  • Willingness to work flexible hours across time zones and travel as required.
