Job description

Direct Counsel is seeking a Finance Associate Attorney to join a highly respected Am Law firm’s Chicago office.

Position Overview
A leading national firm is seeking a mid-level Associate Attorney with approximately 4–6 years of experience to join its Finance Group in Chicago. This role is an excellent opportunity for an attorney with strong general finance experience to work on sophisticated lending transactions in a high-performing, market-leading practice.

The ideal candidate will have experience drafting and negotiating a wide range of finance documents and a solid foundation in corporate and secured lending matters. Strong academic credentials and prior law firm experience are preferred.

Key Responsibilities

  • Draft and negotiate commitment papers, credit agreements, security agreements, and related loan documents
  • Advise lenders and borrowers on secured and unsecured financing transactions
  • Handle UCC-related issues and secured transactions analysis
  • Support structuring and execution of complex financing deals
  • Coordinate with corporate, restructuring, and regulatory teams as needed
  • Manage workstreams across active financing transactions

Qualifications

  • Approximately 4–6 years of experience in finance or banking law
  • Experience with loan documentation, credit agreements, and secured transactions required
  • Prior law firm experience strongly preferred
  • Strong understanding of UCC and general corporate finance principles
  • Excellent drafting, negotiation, and analytical skills
  • High level of academic achievement and strong professional references preferred
  • Ability to manage multiple transactions in a fast-paced environment

Compensation
The anticipated base salary for this Chicago-based Associate Attorney position is $390,000–$435,000 annually, depending on experience and other job-related factors consistent with applicable law. The role may also be eligible for a discretionary year-end bonus.
