Summary:


In this role, you will provide strategic legal counsel supporting the organization's procurement, development, deployment, and commercialization of technology solutions.

You will negotiate complex technology agreements, advise on software licensing, data use, artificial intelligence, intellectual property, privacy, and cybersecurity matters, and partner with cross-functional teams to enable innovation while appropriately managing legal and regulatory risk.

You will report to Vizient's VP, Managing Counsel, and provide practical legal guidance that advances business objectives while maintaining compliance with applicable laws and regulations.

Responsibilities:

  • Draft, review, and negotiate complex technology agreements, including SaaS, software licensing agreements, cloud services agreements, professional services agreements, master services agreements, enterprise licensing agreements, data licensing and sharing agreements, data processing agreements, business associate agreements, consulting agreements, open-source licensing, and information security agreements.
  • Advise internal clients on software, data, and technology matters.
  • Counsel internal clients on generative AI, agentic AI, AI-enabled software products, and emerging technology initiatives.
  • Review and negotiate AI-specific contractual provisions.
  • Monitor emerging AI laws and regulatory developments and provide guidance on legal and compliance implications.
  • Partner with Privacy, Information Security, Compliance, and Technology teams to develop AI governance policies, contracting standards, and risk management practices.
  • Advise Product, Engineering, and business teams on software development, product commercialization, open-source compliance, data usage rights, HIPAA, privacy, cybersecurity, and intellectual property matters.
  • Collaborate with outside counsel, when appropriate, to support operational and strategic legal matters and provide practical legal advice that enables business objectives while managing legal and ethical risk.
  • Develop contract templates, negotiation playbooks, legal guidance materials, and training related to technology contracting, AI governance, software licensing, privacy, cybersecurity, and emerging legal risks.
  • Identify legal and regulatory risks, recommend mitigation strategies, and support scalable legal processes that improve efficiency and consistency across technology transactions.

Qualifications:

  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction.
  • 6 or more years of relevant legal experience supporting technology transactions, intellectual property, commercial contracting, or related legal matters required.
  • Demonstrated experience negotiating enterprise software, SaaS, cloud, and other technology agreements.
  • Strong knowledge of intellectual property, privacy, cybersecurity, HIPAA, and AI-related legal issues.
  • Excellent drafting, negotiation, communication, and client management skills.
  • Ability to manage competing priorities in a fast-paced environment while aligning legal advice with strategic business objectives.
  • In-house technology, healthcare technology, software, cloud computing, or AI industry experience preferred.
  • Experience with GDPR, HIPAA, state privacy laws, emerging AI regulatory frameworks, and CIPP and/or AIGP certification preferred.

This is an office-based role with an expectation of three days per week on-site in Irving, TX, Chicago, Il or Centennial, CO

Estimated Hiring Range:

At Vizient, we consider skills, experience, and organizational needs in our compensation approach. Geographic factors may adjust the range estimate and hires typically fall below the top range. Compensation decisions are tailored to individual circumstances. The current salary range for this role is $156,500.00 to $290,100.00.

This position is also incentive eligible.
