Job description

M&A Corporate Associate

Location: Any Offit Kurman DMV Office (Maryland, Virginia, or Washington, DC)

Offit Kurman is seeking a talented M&A Corporate Associate with approximately 35 years of experience to join our growing Corporate Practice Group in any of our DMV offices.

The ideal candidate will have substantial experience representing clients in mergers and acquisitions, with additional general corporate experience considered a plus.

Responsibilities

  • Support and manage all phases of middle-market M&A transactions, including due diligence, drafting and negotiating transaction documents, and coordinating closings.
  • Draft, review, and negotiate purchase agreements, ancillary transaction documents, and other corporate agreements.
  • Assist clients with a broad range of corporate governance and general business matters.
  • Collaborate with attorneys across multiple practice areas to provide strategic, business-focused legal counsel.
  • Manage multiple transactions simultaneously while maintaining exceptional attention to detail and client service.

Qualifications

  • J.D. from an accredited law school.
  • Approximately 35 years of M&A experience at a law firm.
  • Experience supporting middle-market M&A transactions.
  • General corporate law experience is a plus.
  • Strong drafting, negotiation, analytical, and organizational skills.
  • Ability to manage associate-level deal responsibilities with appropriate partner oversight.
  • Excellent written and verbal communication skills.
  • Admission to practice in at least one applicable jurisdiction (or ability to obtain admission).
