Corporate M&A Associate Attorney – Baltimore

Direct Counsel is seeking a Corporate M&A Associate Attorney to join a top-tier corporate law firm. This role is ideal for a candidate with at least 2 years of experience in mergers and acquisitions, particularly in drafting and negotiating acquisition agreements for private and public companies. Experience in the pharmaceutical sector is a plus. Candidates should have direct, transferable Big Law experience and a strong academic background from a nationally recognized law school.

Responsibilities:

  • Conduct thorough legal research and provide comprehensive analysis to support transaction strategy.

  • Draft clear, precise, and well-reasoned legal documents, including contracts and correspondence.

  • Assist with and manage complex transactions from inception through closing, including negotiations and related legal activities.

  • Maintain and cultivate strong relationships with internal and external clients by providing updates, advice, and professional guidance.

  • Collaborate with colleagues to develop innovative transaction strategies to achieve optimal client outcomes.

  • Participate in high-level negotiations and support compliance with relevant laws and regulations.

  • Engage in professional development opportunities to enhance legal knowledge, management skills, and leadership abilities.

Qualifications:

  • JD from an accredited law school.

  • Admission to practice in Maryland.
