Healthcare M&A Associate – Fort Lauderdale, FL

Direct Counsel is representing a leading AmLaw 100 firm seeking a Healthcare M&A Associate with 2+ years of experience to join its Corporate Practice in Fort Lauderdale.

Key Responsibilities
  • Represent healthcare practices and private equity firms in acquisitions and sales
  • Structure and advise on healthcare M&A transactions
  • Draft and negotiate Asset Purchase Agreements, Stock Purchase Agreements, Management Services Agreements, and ancillary documents
  • Conduct extensive due diligence and prepare contract review charts
  • Advise on HIPAA, corporate practice of medicine, patient privacy, and healthcare regulatory compliance
  • Lead transaction closings and draft corporate governance documents
  • Provide general corporate and healthcare law guidance
Qualifications
  • 2+ years of healthcare M&A, private equity, or transactional experience
  • Experience representing healthcare companies, PE funds, and financial institutions
  • Experience with pharmaceutical, medical device, health insurance, or healthcare transactions
  • Strong experience with healthcare regulatory research and compliance
  • Cross-border and complex transaction experience preferred
  • Florida Bar admission required
