    Assistant General Counsel, Finance & SEC (hybrid schedule)

    Eversource Energy, a Fortune 500 diversified electric and natural gas utility company with operations throughout New England, seeks to hire a full-time attorney.     Eversource is seeking an attorney with 10+ years of corporate and securities law experience, including substantial hands-on experience advising public companies on SEC reporting and disclosure obligations. The ideal candidate is a detail-oriented, business-minded attorney who thrives in a collaborative environment and is comfortable advising senior leadership on complex disclosure and governance matters.


    Role and Scope of Position:

    Serves as the principle counsel providing legal guidance to specific Eversource Energy business segments; provides strategy development; directs the development of legal plans for state and federal jurisdictions; provides leadership to prepare for and litigate a variety of proceedings including management decision support; provides department leadership and communication; provides internal expert advice related to legal issues affecting the Eversource Energy businesses; directs the integration of legal matters into other functional activities; and, manages the operations of the Legal Department including oversight of the use of 3rd party lawyers.


    Essential Functions:

    • Lead or play a key role in drafting and advising on filings with the Securities and Exchange Commission, including '34 Act periodic reports on Forms 10-K, 10-Q and 8K, '33 Act registration statements on Forms S-3 and S-8, proxy statements, and Section 16 filings, and ensuring compliance with SEC and NYSE rules and regulations.
    • Support and enhance disclosure controls and procedures and coordinate cross-functional disclosure processes.
    • Advise senior management and regularly interact with executive leadership on disclosure and governance matters, including coordinating the review of earnings and other press releases, presentations, significant internal communications and other announcements.
    • Advise the Treasury department on capital markets transactions, including underwritten debt and equity offerings, private placements, credit facilities, loan agreements, pension management and other Treasury matters.
    • Advise on and manage the preparation of Section 16 and Rule 144 filings and advise directors and executive officers on insider trading policy and Rule 10b5-1 plans as required.
    • Advise on and support general corporate and commercial matters, including reviewing and negotiating contracts, supporting business transactions, including mergers and acquisitions, asset and stock purchases, and joint venture arrangements.
    • Provide support on matters relating to the board of directors and senior management, including with respect to the annual meeting of stockholders, corporate governance matters and legal entity management.
    • Provide legal counsel on a diverse range of matters related to day-to-day operations of the Company, including investor relations, finance, treasury, internal audit and compliance efforts, including the development and ongoing review of policies and procedures and the implementation of training initiatives.
    • Maintains knowledge of industry trends, proven management practices and industry-related legislation.
    • Fosters a productive, engaging and inclusive work environment in which open communication is encouraged and obstacles to open communication are addressed quickly.
    • Promotes and encourages a positive, cooperative and efficient work atmosphere.
    • Develops and actively pursues a viable succession plan for all areas under sphere of control. Coordinates succession plan with Human Resources, Senior Management and other affiliated Eversource Energy business groups.
    • Guides direct reports when challenging situations are encountered and helps them to be successful.
    • Envisions and builds a cohesive, unified organization that is positively integrated and makes a meaningful contribution to the company-at-large.
    • Develops relationships with selected community leaders and organizations to facilitate strong community relationships, leverages common goals and objectives and furthers the mission of Eversource Energy.
    • Builds and maintains strong relationships and communications within the Senior Leadership team to share ideas, spearhead inter-disciplinary projects and coordinate common work efforts.
    • Keeps Senior Management informed of issues, impediments and progress.
    • Models standards of excellence including the values of Eversource Energy.
    • Identifies and appropriately addresses obstacles to goal attainment as well as emerging issues within assigned areas.
    • Continually communicates corporate strategy, direction and initiatives to staff.

    The following experience is helpful but not necessary:

    • Commercial transactional contract negotiation.
    • Executive compensation matters, including incentive plans and programs, equity administration and related public company disclosure considerations including CD&A and say-on-pay disclosure.
    • ESG and sustainability reporting, including climate-related disclosures.

    Technical Knowledge/Skill/Education/Licenses/Certifications:

    Technical Knowledge/Skill:

    • Ability to use PC desktop applications (e.g., Microsoft Word, Excel, Email)
    • Requires complex organizational and analytical skills
    • Must be a good team player, well organized, and able to identify business-oriented solutions to complex legal problems.

    Education:

    • Requires a bachelor's degree and Juris DoctorDegree

    Experience:

    • Minimum of ten (10) years in a law firm or corporate lawdepartment

    Licenses & Certifications:

    • Admission in good standing to the Massachusetts; Connecticut; and/or New Hampshire Bar and Federal Bars preferred
    • Candidates admitted to practice in another state and in good standing will be considered but will be required to gain admission to the appropriate state Bar within one year, required

    Working Conditions:

    • Must be available to work emergency restoration assignment as required.
    • Must be available to travel between MA/CT/NH as necessary.
    • Work is performed primarily in an office environment with occasional time spent in field (right-of-way, take station, e.g.,) and in court or before administrative agencies, as necessary.

    Mental Aspects:

    • Work includes periodic involvement in time-sensitive projects having a potentially significant impact on Eversource success. Often involved inadversarial/confrontationalsituations.
    • This role works in an environment that often requires the performance of multiple simultaneous activities, where deadlines need to be met and work is performed under pressure while involving significant business commitments and results.

    HYBRID WORK POLICY

    Eversource supports work-life balance by offering hybrid schedules for certain roles. Eligibility is based on job responsibilities, operational needs, nature of work and team dynamics. Current guidelines require employees to workat least three days in the office, includingTuesdays and Wednesdays, with the third day set by the employee and supervisor based on department needs. These guidelines apply to roles approved for remote work and are subject to change, based on managerial discretion and work performance.
