Job description

The Legal Counsel will assist the Head of Legal - North America in delivering independent, efficient legal advice and services for the purpose of mitigating legal, commercial, and contractual risk for the business within the North American region. Legal Counsel will take lead responsibility for commercial contracts and advice to procurement functions for matters within North America and will assist the Head of Legal - North America in otherwise supporting other internal divisions and stakeholders, as necessary, including Nevada Projects, Greenfields Exploration, Global Supply Chain, and Human Resources, as well as AngloGold Ashanti's broader Group Legal Team. This position will be located in our Las Vegas office.
ACCOUNTABILITIES:
  • Provide proactive advice and, where required, oversee and coordinate with external legal advisors to provide advice on matters as necessary.
  • Assist the Head of Legal - North America in legal review of all contracts entered into within the North American region, including the drafting of contractual documentation in complex matters and working with internal contract owners to advise on and negotiate contractual documents with counterparties to reflect appropriate risk allocation.
  • Act as primary point of contact for regional and global procurement teams, conducting legal review and negotiations with counterparties and advising as to overall procurement strategy.
  • Counsel regional land function regarding legal issues affecting unpatented mining claims (e.g., claim location, staking, and maintenance) and other real property interests held by the Company.
  • Assist the Head of Legal - North America in providing legal advice to environmental and permitting teams regarding permitting requirements and litigation risk mitigation strategies.
  • Assist Head of Legal - North America and the broader Group Legal Team with regard to corporate-level transactions, including mergers and acquisitions, financing transactions, and internal regional restructuring.
  • Provide strategic support with respect to AngloGold Ashanti's North American water rights portfolio, including leases, acquisitions, and related regulatory matters.
  • Advise regional Human Resources function with respect to employee-relations matters and policy review.
  • Provide advice to the Region on legal responsibilities and compliance with legal and commercial obligations, as directed by the Head of Legal - North America.
  • Address corporate secretarial requirements, including maintenance of company records, subsidiary management, and preparation/submission of required annual filings.
  • Assist the Head of Legal - North America with respect to resolution of litigation and disputes within North America, including management of outside counsel where necessary.
  • Assist the Company's Group Legal Team with corporate matters, as needed, which may include review of contracts and non-disclosure agreements, assistance with securities disclosures, supporting work in relation to M&A transactions, and other legal matters (as directed by the Head of Legal - North America).
  • Stay abreast of legal developments and standards in industry, in order to provide expert advice.
  • Assist the Head of Legal - North America in educating the Region with respect to relevant legal developments, including through training sessions developed in coordination with Head of Legal - North America.
  • Assist in reviewing and advising on drafts of regional policies and procedures for finalization.
  • Other duties as assigned by the Head of Legal - North America.

EDUCATION & QUALIFICATIONS:
  • Bachelor's Degree
  • Juris Doctor degree from an accredited law school

REQUIRED GENERAL KNOWLEDGE & EXPERIENCE:
  • 5-10 years' experience in a top-tier law firm and/or in-house legal role.
  • Significant experience negotiating high-value commercial contracts with minimal oversight.
  • License to practice law (and currently in good standing) in any U.S. state, territory, or the District of Columbia (licensure in NV and/or CO is a plus), with the understanding that any non-NV attorney will need to apply for the in-house counsel exemption under Nevada Supreme Court Rule 49.1(1)(h).
  • Must have valid U.S. work authorization.

PREFERRED KNOWLEDGE & EXPERIENCE:
  • Prior experience working in highly regulated industries (especially mining) is a plus.

Posting Salary: $140,000 to $200,000 + Bonus Incentive
