What will you be doing in this role?
Corporate Counsel is a member of the Department of Legal Affairs (DLA) and responsible, under the guidance of the Chief Legal Officer, the Deputy General Counsel, Associate General Counsel, and/or Senior Corporate Counsel, for providing legal services and advice on a wide range of matters for Cedars-Sinai Medical Center, Cedars-Sinai Health System, and other affiliates (collectively, Cedars-Sinai). This particular role will primarily support real estate, leasing, construction, land use and environmental matters for Cedars-Sinai properties and facilities, and will also support general healthcare transaction work. Corporate Counsel has a degree of independence in performing the duties and responsibilities of the position, which will vary depending on the relative complexity of the project. Corporate counsel analyzes and interprets relevant law, advises on strategic, operational and policy matters, participates in enterprise risk management, advises on agreements and negotiation of transactions, and develops an understanding of trends and forces shaping the health care industry in the context of legal requirements. Corporate Counsel:
  • May serve as the DLA's representative for Cedars-Sinai initiatives, committees and task forces, based on expertise or experience, as assigned.
  • Develops and maintains subject matter expertise in one or more substantive areas of law that routinely or materially affects Cedars-Sinai operations and strategy.
  • Routinely interacts with outside legal counsel, consultants, and experts.
  • Strives to carry out the essential position accountabilities in a timely manner in response to client needs and expectations.
  • Performs all duties in a manner that promotes Cedars-Sinai mission, values, and philosophy and serves as a role model for the values and mission of the organization.
  • Provides legal advice, consultation, and policy analysis and interpretations of various areas of law and policy, and provides counsel and recommendations based on appropriate research and analysis, with a focus on responsiveness to client needs and providing practical advice on complex legal issues.
  • Provides research, technical support, analysis, and interpretation to address a wide range of legal and regulatory questions and issues.
  • Prepares written guidance for executives and other internal clients.
  • Drafts, revises, reviews and, as appropriate, negotiates contracts, governance documents, standard forms used to support DLA or general operations, policies, and communications.
  • Develops and maintains a working knowledge of health care regulatory matters, such as, Stark, California law regarding medical practice foundations, and the corporate practice of medicine.
  • Assists in the management of lawsuits, judicial proceedings, arbitrations, and responses to subpoenas.
  • Assists in the supervision and oversight of outside counsel, exercising good stewardship over legal fees and expenses.
  • Provides timely legal information as a continuing education resource for Cedars-Sinai, such as development of presentation materials and written summaries of legal/regulatory changes affecting Cedars-Sinai operations and strategy.
  • Works closely with and provides legal support to Cedar-Sinai Corporate Integrity Department and other compliance functions.
  • Participates in the implementation of DLA initiatives and work plans, assumes leadership in development and implementation as requested.
  • Completes special projects assigned by the Chief Legal Officer, Deputy General Counsel, Associate General Counsel, or Senior Corporate Counsel.
  • Serves as supporting counsel on strategic and operational initiatives.

Corporate Counsel works to foster and maintain a team-focused approach to the delivery of legal services for Cedars-Sinai with other members of the DLA and with members of other departments which share responsibility for enterprise risk management. Corporate Counsel reports to an Associate General Counsel.
Corporate Counsel must establish and maintain effective working relationships with management and staff at all levels in Cedars-Sinai, as well as with outside counsel, consultants, vendors, agents, and others.
In this role you will:
Establish effective working relationships with cross-functional team(s).
Share knowledge, time, and proficiency to assist other members of the team and members of Cedars-Sinai management.
Cultivate and maintain strong customer relationships and rapport with partners and client groups.
Act as a team lead to include coordinating the work of others, assigning, or allocating work to team, and ensuring tasks are completed according to timeline and quality standards.
Qualifications
Requirements:
  • Bachelor's degree required.
  • Juris Doctorate, Graduate of ABA accredited law school required.
  • Current CA State Bar Membership required.
  • The position requires at least three (3) years of relevant experience practicing law, working as an in house or government lawyer or at a law firm, or any combination of the foregoing. Relevant experience includes at least two of the following substantive legal areas (preferably for clients in the health care industry): Health care Law (includes any of the following: regulatory, compliance, provider operations, physician contracting, medical foundations, payor relations, medical staff, licensure & certification, clinical trials, and medical research), corporate/governance, real estate, tax-exemption/nonprofit organizations, or complex transactions.
  • Curiosity about learning new areas of the law.
