Job description

CITITRENDS is seeking a corporate Paralegal to provide high-level legal support to the General Counsel and Legal Department, supporting contract management, corporate governance, litigation, and regulatory compliance across the Company's multi-location retail operations.
This role partners closely with internal stakeholders-including Senior Leadership team, HR, Merchandising, and Supply Chain-to ensure legal processes align with business priorities, mitigate risk, and support operational efficiency and growth as well as the Board of Directors for Scheduling and Corporate Governance matters.
ESSENTIAL FUNCTIONS
The essential functions of this role include the following:
  • Provide contract management support, including drafting, review, execution tracking, and renewal management
  • Support corporate governance activities, including maintenance of corporate records and preparation of Board and Committee materials
  • Assist with SEC filings including Proxy, 10-K, and other related filings
  • Assist with regulatory compliance and licensing requirements across multi-location operations
  • Support litigation and legal matters, including legal holds, discovery coordination, and interaction with external counsel
  • Maintain and organize legal documentation, records, and systems
  • Monitor legal and regulatory developments impacting the business

KEY RESPONSIBILITIES/ OUTCOMES
Board Administration & Scheduling
  • Schedule and coordinate all Board of Directors meetings
  • Prepare meeting agendas, materials, and board packages in coordination with General Counsel
  • Maintain board calendars and track critical governance dates and deadlines
  • Prepare and distribute Board and Committee minutes and resolutions
  • Coordinate director and officer logistics for in-person and virtual meetings
  • Manage Board portal and ensure timely distribution of materials to directors

Contract Management & Administration
  • Draft, review, and administer contracts including vendor agreements, leases, NDAs, and service agreements
  • Maintain contract management systems and proactively track renewals, expirations, and obligations
  • Partner with internal stakeholders to ensure appropriate legal protections and risk mitigation

Corporate Governance & Compliance
  • Prepare and maintain corporate records and materials for the Board of Directors and Committees
  • Assist with SEC filings, including Forms 4, Annual Reports, and Proxy Statements
  • Support licensing and regulatory compliance activities across store operations

Litigation & Legal Support
  • Manage legal holds and support discovery processes in coordination with outside counsel
  • Track and organize litigation files, correspondence, and case documentation

Intellectual Property & Risk Management
  • Maintain trademark portfolio and support brand protection initiatives
  • Monitor legal and regulatory changes impacting business operations
  • Assist with internal investigations and compliance initiatives

Reporting & Cross-Functional Support
  • Track legal metrics and KPIs and provide reporting and insights
  • Serve as a trusted legal partner to cross-functional teams
  • Support department operations, deadlines, and priorities
  • Prepare monthly or quarterly legal department status reports for General Counsel
