Transactions Associate Attorney

Direct Counsel is seeking a Transactions Associate Attorney to join a prestigious Am Law firm in Silicon Valley, CA; San Francisco, CA; or San Diego, CA.

This is an exceptional opportunity for an attorney with 3-5 years of corporate transactional experience to join a sophisticated Transactions Practice. The team advises emerging companies, venture capital funds, private equity sponsors, entrepreneurs, and public and private companies on a broad range of corporate transactions, including venture financings, mergers and acquisitions, private equity investments, and general corporate matters.

Responsibilities
  • Represent emerging companies, venture capital funds, private equity sponsors, and other investors in a variety of corporate transactions.

  • Advise clients on venture capital and early-stage financings.

  • Handle mergers, acquisitions, dispositions, joint ventures, and other strategic transactions.

  • Provide general corporate counseling to publicly and privately held companies.

  • Draft, review, and negotiate transaction documents and corporate agreements.

  • Support capital markets transactions and public company reporting matters, as applicable.

  • Manage transactions from inception through closing while maintaining direct client relationships.

  • Collaborate with multidisciplinary teams in a fast-paced, client-focused environment.

Qualifications
  • J.D. from an ABA-accredited law school.

  • Active membership in good standing with the California Bar.

  • 3-5 years of corporate transactional experience.

  • Experience with venture capital and early-stage financings, mergers and acquisitions, dispositions, joint ventures, and general corporate matters.

  • Experience with capital markets transactions and public company reporting is preferred.

  • Excellent drafting, negotiation, analytical, and communication skills.

  • Strong interpersonal skills, business development aptitude, and a commitment to exceptional client service.

Compensation & Benefits
  • Salary: $260,000-$390,000, commensurate with experience and qualifications.
