What Youโ€™ll Do

We are seeking an experienced C&I Finance Attorney with 4+ years of experience in commercial and industrial transactions, asset-based lending, leasing, and commercial finance. This role offers the opportunity to work on complex deals and provide strategic counsel to a diverse client base. You will serve as a primary point of contact for institutional lenders, regional banks, and corporate borrowers, managing complex C&I transactions from initial term sheet to post-closing compliance. Commercial real estate and other lending experiences are a plus.

The successful candidate will possess a deep understanding of the Uniform Commercial Code (UCC), Florida-specific lending statutes, and the nuances of asset-based lending (ABL) and cash-flow-based credit facilities.

Key Responsibilities:

โ€ข Prepare and negotiate purchase and sale agreements, commercial leases, easements, and related real property agreements.

โ€ข Draft, review, and negotiate financing documents, including term loans, revolving credit facilities, security agreements (UCC filings), guarantees, and intercreditor agreements.

โ€ข Draft, review, and negotiate purchase/sale agreements and joint venture agreements.

โ€ข Manage due diligence, including title, survey, and lease review, as well as collateral matters for C&I loans (corporate structure, lien searches).

โ€ข Advise clients on transaction structures, collateral packages, and closing complex deals.

โ€ข Support leasing matters as needed.

โ€ข Manage and coordinate all aspects of C&I commercial finance closings.

What Youโ€™ll Bring

โ€ข Juris Doctor (J.D.) degree with excellent academic credentials.

โ€ข Admission to the New York and/or New Jersey Bar required; admission to the Florida Bar is a plus.

โ€ข 4+ years of transactional and/or commercial finance experience, specifically including C&I lending.

โ€ข Strong drafting, negotiation, and organizational skills.

โ€ข Ability to work independently, multitask effectively, and collaborate as a team player.

โ€ข Excellent writing and communication skills.

โ€ข Familiarity with UCC Article 9 secured transactions strongly preferred.

โ€ข Self-starter with attention to detail and a proactive work ethic.

Compensation & Benefits

We offer a competitive salary, an excellent benefits package and a collaborative, friendly environment. The salary range for this role is $150,000-$220,000. Actual salary will be commensurate with the candidateโ€™s qualifications and relevant experience.
