§ Salary: $235,000 to $310,000 Base Salary (Commensurate with seniority and market-leading bonus incentives)


§ Schedule: Full-time, Direct-Hire, Minimum 1,850 hours annual billed

§ Duties:

The selected associate will operate as a critical legal strategist, providing high-level tax counsel to an elite roster of private equity sponsors, institutional investors, and public corporations. The role involves the seamless integration of tax planning into the broader lifecycle of sophisticated corporate transactions.


⨖ Formulating and implementing tax-efficient structures for complex mergers, acquisitions, and corporate divestitures.

⨖ Providing comprehensive legal guidance on the formation and operation of private equity funds, real estate investment trusts (REITs), and regulated investment companies.

⨖ Drafting and negotiating intricate tax provisions within transaction documents, including partnership agreements and investment structures for LLCs and joint ventures.

⨖ Advising on the tax implications of capital markets activities and complex financing arrangements.

⨖ Collaborating across practice groups to ensure that tax strategies are perfectly aligned with the client’s overarching commercial and financial goals.


§ Qualifications:

Candidates must demonstrate a high degree of technical proficiency and a history of academic excellence.


⨖ Juris Doctor (J.D.) from an ABA-accredited law school with superior academic credentials.

⨖ Active Bar admission in Massachusetts, or the immediate eligibility to waive in.

⨖ Three (3) to Four (4) years of substantive experience in general transactional tax law within a reputable, peer-level law firm.

⨖ Proven ability to manage significant components of a transaction independently while maintaining a collaborative team-oriented approach.

⨖ Exceptional written and verbal communication skills, with the ability to translate complex tax concepts into actionable legal advice.


§ Skills:


⨖ An L.L.M. in Taxation from a nationally recognized program is highly preferred.

⨖ Deep technical knowledge of Subchapter K (Partnerships) and Subchapter C (Corporations).

⨖ Experience specifically related to the tax considerations of REITs or international tax planning.

⨖ A proactive professional demeanor with the capacity to thrive in a fast-paced, high-stakes transactional environment.
