Assistant General Counsel, Corporate
Unifi is seeking a strategic, business-minded corporate attorney to serve as a key member of our Legal leadership team. In this highly visible role, you will be the primary legal partner for all commercial and certain strategic transactions, advising senior leadership and shaping Unifi's contractual and governance framework as we continue to scale. The ideal candidate is an experienced corporate generalist who enjoys rolling up their sleeves, leading high-performing teams, and driving meaningful operational improvements across a fast-growing organization.
Key Responsibilities
Leadership & Team Development
• Lead, mentor, and grow the commercial and corporate legal team to ensure world-class support and operational excellence.
• Serve as a trusted advisor to the Chief Legal Officer and senior leadership on contracts, governance, and corporate risk.
Commercial Transactions
• Draft, negotiate, and advise on a broad range of complex commercial agreements, including MSAs, customer/service agreements, procurement and vendor agreements, SOWs, NDAs, real estate/lease documents, and RFP support for all group companies.
• Serve as the escalation point for commercial negotiations, helping internal stakeholders navigate complex issues and disputes.
Corporate Governance & Operations
• Act as Assistant Secretary for designated entities, maintaining corporate records, drafting minutes, resolutions, and certificates, and ensuring compliance with governance requirements.
• Support global expansion initiatives by managing cross-border corporate requirements and organizational documentation.
• Advise on corporate governance, M&A activity, legal operations, regulatory compliance, and financing matters.
Contract Lifecycle Management & Process Improvement
• Lead the development and continuous improvement of Unifi's contract templates, playbooks, approval matrices, and policies.
• Design and implement contract lifecycle management (CLM) processes, including reporting dashboards and performance metrics.
• Utilize technology-particularly DocuSign CLM-to enhance efficiency, visibility, and compliance across the contract lifecycle.
Stakeholder Education & Enablement
• Build and deliver training for internal business teams on contracting principles, approval processes, compliance requirements, and best practices.
• Improve organizational contracting literacy to reduce friction and empower business owners.
Required Qualifications
• JD from an accredited law school and good standing with at least one U.S. jurisdiction.
• 8+ years of corporate law experience, including significant hands-on responsibility for negotiating commercial contracts of varying complexity.
• Experience at a top-tier law firm; blended in-house and law-firm background preferred.
• Demonstrated ability to advise, influence, and collaborate with senior executives, cross-functional teams, customers, and vendors.
• Strong business judgment, communication skills, and ability to provide clear, actionable guidance.
• Proven ability to manage multiple priorities in a fast-paced, high-growth environment.
Preferred Qualifications
• Experience with SaaS and technology agreements, software licensing, data privacy, and cybersecurity.
• Hands-on experience selecting, implementing, or managing contract lifecycle management software (DocuSign CLM strongly preferred).
• Experience advising on global operations or multi-jurisdictional corporate structures.
• Ability to thrive in a multicultural and geographically dispersed business environment.
