Technology Transactions Associate Attorney – Boston, New York or Palo Alto

Direct Counsel is seeking a Technology Transactions Associate to join a highly respected Am Law firm in Boston, New York or Palo Alto. This is a unique opportunity for a mid-level associate to work at the forefront of technology, intellectual property, and commercial transactions while advising innovative clients on cutting-edge matters involving artificial intelligence, emerging technologies, and complex commercial arrangements.

The ideal candidate will have 3–5 years of technology transactions experience at a leading law firm, including substantial experience drafting and negotiating sophisticated technology and commercial agreements and supporting corporate transactions involving intellectual property and technology assets.

Qualified candidates will possess:

  • 3–5 years of technology transactions experience at a law firm
  • Experience drafting, reviewing, and negotiating a broad range of commercial agreements, including licensing agreements, SaaS agreements, development and collaboration agreements, data use agreements, and strategic partnership agreements
  • Experience conducting IP and technology due diligence in connection with mergers and acquisitions, financings, and other corporate transactions
  • Familiarity with intellectual property concepts, technology commercialization, and licensing matters
  • Interest or experience advising clients on artificial intelligence-related legal and regulatory issues, including data governance, risk allocation, and compliance considerations
  • Excellent drafting, analytical, communication, and organizational skills
  • Strong academic credentials
