Technology Transactions Associate Attorney (3–5 Years)
Location: New York, NY
Salary: $260,000 – $365,000

Direct Counsel is seeking a Technology Transactions Associate to join a leading Am Law firm in New York. This is an outstanding opportunity for an attorney with 3–5 years of experience advising clients on sophisticated technology transactions, intellectual property licensing, and emerging technology matters, including artificial intelligence.

The ideal candidate will have experience negotiating complex commercial agreements and providing strategic, business-focused legal counsel to innovative companies ranging from emerging startups to established enterprises.

Responsibilities
  • Draft, review, and negotiate a broad range of technology and commercial agreements, including:
    • Software and content licensing agreements
    • Cloud and application hosting agreements
    • Distribution and partnering agreements
    • Intellectual property development and technology transfer agreements
  • Advise clients on technology transactions involving artificial intelligence, including AI licensing, deployment, and related commercial considerations.
  • Counsel clients on transactional privacy, regulatory compliance, and evolving legal issues affecting emerging technologies.
  • Collaborate with attorneys across multiple practice areas to support mergers and acquisitions, financings, and other strategic transactions.
  • Provide practical, commercially focused legal advice tailored to clients' business objectives.
  • Manage multiple complex matters simultaneously while maintaining exceptional client service.
  • Stay current on developments in technology, intellectual property, privacy, and AI regulation, while contributing to internal knowledge-sharing and professional development initiatives.
Qualifications
  • J.D. from an accredited law school.
  • Active bar admission in New York or eligibility to obtain admission.
  • 3–5 years of technology transactions experience, preferably at a law firm.
  • Strong background in drafting and negotiating sophisticated commercial technology and intellectual property agreements.
  • Experience advising on software licensing, cloud services, technology partnerships, and intellectual property licensing.
  • Familiarity with artificial intelligence transactions and emerging AI regulatory considerations is highly preferred.
  • Exposure to transactional privacy and regulatory compliance issues is a plus.
  • Excellent drafting, negotiation, analytical, and communication skills.
  • Ability to manage multiple priorities in a fast-paced, collaborative environment while providing pragmatic business advice.
