This person will work within the team as a key member and responsibilities will include but not limited to:

  • Supporting portfolio company finance teams (including direct interaction with CFOs, controllers, and FP& A managers) with tax reporting and supporting calculations, such purchase price allocations, transaction cost analysis, and coordinating tax work within required timelines.
  • Provide guidance and assistance with technical tax questions and research.
  • Understanding the necessary action items and processes needed to accomplish such benefits including purchase price allocations and tax step-up computations.
  • Participate in both sell side and buy-side tax due diligence for platform acquisitions, add-on acquisitions and carve outs and gather information, data, legal agreements, etc. for the service providers.
  • Monitor transaction tax benefits and tax refunds due after sale of portfolio company.
  • Assist coordination of service providers for provisions and compliance.
  • Review and summarize purchase agreements for tax deliverables.
  • Prepare special tax projects (like transaction tax benefit analysis) for certain acquisitions.
  • Provide technical assistance with new federal and state law changes.
  • Assist in coordinating the flow of K-1s for the fund in a timely manner.
  • Provide IRS audit support and project management.

Job Requirements:

  • Previous experience as tax lead on large multinational companies within the industrial, manufacturing, logistics, and service sectors, preferably.ย Private Equity owned company and M& A experience a plus.
  • Experience with tax impacts of acquisitions and dispositions, including transaction cost analysis and purchase price allocation calculations.
  • Well-rounded tax technical skills to navigate a complex tax environment. Including a deep understanding of partnership tax, US corporate tax (Federal, State & Local) and a working knowledge of international tax.
  • Evidence of researching, documenting, and concluding on various technical tax issues.
  • Detail oriented, analytical, and able to manage multiple tasks in a fast-paced environment.
  • Ability to work with outside advisors.
  • Excellent written and verbal communication skills and the ability to communicate tax issues/benefits to stakeholders.
  • Demonstrated project management skills.
  • Flexible and capable of applying experiences and skills to a broad range of sectors, projects, and functional areas.
  • Strong analytical and problem-solving skills.
  • Extremely strong Excel skills.
