Job description

Job Description A bit about this role: We're seeking an experienced Stock Plan Administrator to own Devoted's equity plan operations. This role will develop, build, and run a best-in-class company equity plan function for the long term — one that's accurate, compliant, and easy for all shareholders (and especially employees) to navigate as we grow.

You'll administer our stock option program day to day, ensure we have tools and processes to scale, inform our employee equity compensation strategy, provide education, and support shareholder liquidity as our equity program evolves. You'll partner closely with teams across People, Legal, Accounting, Tax, Payroll, and other Finance operations, and serve as the definitive owner of the equity plan function — building the processes, controls, and documentation that scale with our investor cap table, potential transaction activity, and headcount while supporting and informing the full range of equity plan compensation activity across a growing private company. This role will report to the VP of Corporate Finance.

Your Responsibilities and Impact will include:
  • Oversee daily equity plan operations in Carta, including grant processing, option exercises, cancellations, repurchases, and cap table management.
  • Evaluate equity administration tools and lead implementation of new solutions.
  • Manage monthly and quarterly equity reconciliations and reporting.
  • Administer employee equity plan transactions accurately and compliantly, including any liquidity events the Company may offer, from planning through employee communications and settlement.
  • Build and optimize processes for equity plan transactions, particularly option exercises, while ensuring accuracy and compliance.
  • Support the development of equity plan tax policies and procedures in partnership with Accounting, Tax, Legal, and Payroll.
  • Design and document standard operating procedures and strong internal controls for all equity plan operations, including audit support.
  • Manage the 409A valuation process and cadence in collaboration with Legal and Accounting, and its downstream effects on grants, exercises, and liquidity events.
  • Lead HRIS and payroll system integrations to streamline equity plan operations and eliminate manual reconciliation.
  • Develop automated processes for tax withholding calculations and payroll integration, including withholding on liquidity events.
  • Create scalable workflows that support our growing headcount over a multi-year private horizon.
  • Coordinate equity plan tax calculations and timely, accurate withholding and reporting with Payroll (including Forms 3921/3922 and W-2 treatment).
  • Support the introduction of new instruments such as RSUs (including appropriate vesting design for a private company) as the program evolves.
  • Provide high-touch guidance and support to managers and employees on equity-related questions — helping them understand their equity, from grants and vesting to exercises, secondaries, taxes, and payroll impacts.
  • Manage the equity-related information verification from non-employee shareholders including, but not limited to, audit requests, shareholding confirmations, and 409a value verification.
Required skills and experience:
  • 8+ years in equity plan administration, stock plan management, or a related field.
  • Hands-on administrator-level experience with Carta; experience with Shareworks and other platforms is a plus.
  • Strong knowledge of equity compensation principles and their tax treatment, including stock options (ISOs and NSOs) and RSUs, and the accounting treatment and execution experience of various private company liquidity events.
  • Proficiency with payroll systems integration and tax withholding processes.
  • A detail-oriented approach with strong analytical and problem-solving skills.
  • Excellent communication skills, with the ability to both consult subject matter experts on bespoke equity issues across legal, tax, accounting, and payroll and explain complex equity concepts to employees in plain language.
Desired skills and experience:
  • A Certified Equity Professional (CEP) designation.
  • Experience at a high-growth private company with a wide shareholder base.
  • Hands-on experience administering private company liquidity events.
  • Experience evaluating different forms of employee equity, introducing a new instrument, and managing it on an ongoing basis post-introduction (e.g., evaluating and introducing RSUs to an options-focused employee equity program).
  • Knowledge of US and international equity compensation and tax requirements.
  • Familiarity with ASC 718 stock-based compensation and internal controls.
  • Excellent project management skills with a track record of leading complex, cross-functional initiatives.
  • Advanced Excel/Google Sheets skills and experience with modeling.

Salary Range: $110,000 - $194,000 annually base plus annual cash bonus The pay range listed for this position is the range the organization reasonably and in good faith expects to pay for this position at the time of the posting. Once the interview process begins, your talent partner will provide additional information on the compensation for the role, along with additional information on our total rewards package. The actual base salary offered will depend on a variety of factors, including the qualifications of the individual applicant for the position, years of relevant experience, specific and unique skills, level of education attained, certifications or other professional licenses held, and the location in which the applicant lives and/or from which they will be performing the job.
