Job description

VCL Law LLP, a business law firm in Tysons Corner, VA is seeking a full-time junior to mid-level associate in its capital market team. Our capital market team has substantial experience in leading issuers, underwriters and sponsor clients through US IPO and listing process. We advise both domestic and overseas companies in their IPOs and continue to represent them in their ongoing securities laws compliance, SEC reporting and disclosure obligations.

Requirements:

· JD degree from a reputable accredited law school

· Licensed to practice law and in good standing with the New York, DC or Virginia bar

· Must have legal right to work in the U.S.

· Excellent verbal and written communication skills

· Knowledge of registered securities offerings, PIPEs, SEC regulations, ’33 Act and ’34 Act, mergers & acquisitions, and general corporate law

Job Duties:

· Perform legal due diligence review on private and public companies

· Prepare FINRA filings

· Draft registration statements and respond to SEC comments

· Prepare Nasdaq applications and respond to Nasdaq comments

· Draft and review offering related documents

Compensation:
