Capital Markets / Securities Associate Attorney

Locations: New York, NY | Dallas, TX | Houston, TX | Boston, MA | Charlotte, NC
Experience: 3+ years

Direct Counsel is seeking a Capital Markets / Securities Associate Attorney to join the Capital Markets Practice Group of a leading Am Law firm. This opportunity is ideal for an attorney energized by sophisticated securities and corporate transactional work and interested in advising issuers, investment banks, and institutional investors on complex securities and corporate matters.

The successful candidate will have meaningful experience with U.S. securities laws and capital markets transactions, as well as the judgment and technical skills necessary to guide clients through complex regulatory, disclosure, and compliance matters.

Position Highlights
  • 3+ years of experience in corporate and securities law at a major law firm
  • Experience handling a broad range of corporate finance transactions
  • Experience with public and private securities offerings, including common stock, warrants, convertible securities, and ATM programs
  • Experience advising clients on alternative paths to the public markets, including reverse mergers, de-SPACs, and direct listings
  • Strong understanding of the Securities Act, Exchange Act, and applicable stock exchange rules
  • Excellent drafting, negotiation, and communication skills
  • Ability to manage multiple matters simultaneously in a fast-paced environment
  • Strong analytical and problem-solving abilities
  • JD from an accredited law school
  • Admission to the New York State Bar
Compensation

$270,000–$455,000 base salary, consistent with the current Cravath-scale market for associates with 3+ years of experience. Compensation will vary based on seniority, qualifications, experience, and office location. Additional compensation may include a discretionary bonus and comprehensive benefits.
