Job description

We're looking for a Senior Counsel, M&A Integrationto join Procore's Legal, Regulatory & Compliance (LRC) Department. In this new role, you'll serve as the primary legal architect for LRC's post-acquisition success, orchestrating the end-to-end legal integration of acquired companies into the Procore ecosystem. The primary goal of this role is to lead the legal integration of Procore's acquisitions, ensuring a successful and seamless transition aligned with our global legal standards.
As a Senior Counsel, M&A Integration, you'll partner closely with cross-functional teams including Corporate Strategy, Corporate Development, Product & Technology, Revenue Operations, Sales, Security, People, and Finance, and teams within LRC across the Corporate, Commercial, Product, Privacy, Compliance, and Legal Operations functions, to drive LRC's integration strategy and execution. You will use your deep legal and subject matter expertise, project management mastery, and AI-first mindset to accelerate time-to-value for our acquisitions while mitigating and managing associated risks.
This role is an exciting new position that will play an important role in Procore's continued growth and success, and offers significant LRC and senior leadership-level visibility in driving LRC's integration strategy for the company's highest priority initiatives. We are looking for a high-impact leader who views M&A integration not just as a checklist, but as a strategic lever for Procore's global growth.
This position reports to Procore's Senior Director & Assistant General Counsel, Sales and can be based in Procore's Austin, TX office or one of our other U.S.-based offices, or for the right candidate may be remote. We're looking for someone to join us immediately.
What you'll do:
  • Lead the Legal Lifecycle: Project manage the end-to-end legal integration of acquired entities, coordinating across functional leads in go-to-market, commercial terms, operations, systems, product, privacy, compliance, and IP to ensure alignment with Procore standards.
  • Drive Integration Strategy: Partner with Corporate Development during due diligence to identify integration risks early and influence the overarching integration roadmap, including participation in executive outreach.
  • Cross-Functional Orchestration: Serve as the central legal point of contact and connective tissue between the Commercial Legal team and specialized functions like Privacy, Security, Product Legal, and Finance, ensuring integration milestones are met.
  • Executive Navigation: Facilitate executive outreach and provide clear, predictive updates on integration milestones and potential blockers to leadership.
  • Commercial Alignment: Partner with the Commercial Legal team to streamline the transition of acquired customer and vendor contracts, ensuring a unified go-to-market motion post-close aligned with Procore's standard practices.
  • Process Innovation: Develop and scale repeatable legal integration playbooks, processes, and templates that leverage Procore's AI-driven tools to increase deal velocity and ensure a consistent integration motion.
  • AI Thought Leadership: Provide thought leadership on AI utilization to transform M&A integration strategies, establishing scalable, tech-forward processes that accelerate timelines and improve efficiency.
  • Risk Mitigation: Proactively identify and communicate legal risks associated with the transition of people, processes, and technology during the integration lifecycle, and remediate compliance gaps within acquired product suites, particularly regarding data residency and global privacy standards.

What we're looking for:
  • J.D. and active State Bar membership in good standing.
  • Proven Track Record: 10+ years of relevant experience, including demonstrated expertise in M&A integration, legal operations, and complex commercial legal motions, gained at a nationally prominent law firm(s) and in-house legal department(s) (ideally at a SaaS or other high-growth technology company) in roles of increasing responsibility.
  • Commercial & Privacy Expertise: Extensive experience in complex SaaS and other commercial technology transactions and a strong understanding of global privacy laws as they relate to SaaS and other commercial technology agreements.
  • Tech-Forward Mindset: A forward-thinking, AI-first mindset with a passion for exploring and implementing innovative AI strategies that optimize M&A integration by driving efficiency and delivering greater value. Experience in leveraging AI solutions, such as Google Gemini, NotebookLM, and Harvey, a strong plus.
  • Change Management Expertise: Experience orchestrating the operational transition for acquired sales teams by designing legal enablement strategies; driving the adoption of unified operating and transactional models, and ensuring seamless integration of acquired entities through cross-functional stakeholder alignment and continuous process optimization.
  • Agile Problem Solver: Highly resilient and tenacious; able to navigate ambiguity, manage shifting priorities, and deliver results amidst unpredictable challenges and high-pressure timelines.
  • Strategic Playbook Design: Proven ability to architect commercial integration frameworks, harmonizing divergent risk appetites, negotiation postures, and operational motions into a streamlined, unified go-to-market strategy.
  • Exceptional Communicator: The ability to translate complex legal concepts into actionable business advice that resonates with stakeholders at all levels, with a passion for educating and thought-partnering with others.
  • Operational Excellence: Detail-oriented with exceptional project management skills and a passion for process improvement-you don't just follow a process, you build a better one.
  • Unwavering Integrity: Exceptional business acumen, judgment, and discretion in dealing with highly sensitive information.

  • Proficiency with Google Workspace (including Slides, Sheets, Docs, and Drive), project management applications (including Airtable), Slack, Salesforce, and Ironclad a strong plus.

Additional Information
Base Pay Range:
200,000.00 - 275,000.00 USD Annual
This role may also be eligible for Equity Compensation and/or Bonus Incentive Compensation. Procore is committed to offering competitive, fair, and commensurate compensation. Actual compensation will be based on a candidate's job-related skills, experience, education or training, and location.
