HHM Talent is assisting a client in their search for a Transactional Attorney in Chattanooga, TN.


Position Overview

Our client is seeking a detail-oriented and business-minded Transactional Attorney to provide legal counsel on a broad range of commercial and corporate matters. The ideal candidate will have experience drafting, reviewing, negotiating, and managing a variety of legal agreements while partnering closely with business leaders to support strategic initiatives and minimizing legal risk. This role requires strong analytical skills, sound legal judgment, and the ability to communicate complex legal concepts in a practical, business-focused manner.

Location: Our client's preference is for this individual to sit in Chattanooga, TN. They are open to hybrid or remote accommodation for the right candidate.


Responsibilities

  • Draft, review, negotiate, and interpret a wide variety of commercial agreements, including:
    • Operating Agreements
    • Vendor and supplier agreements
    • Customer contracts
    • Professional services agreements
    • Non-disclosure agreements (NDAs)
    • Licensing agreements
    • Master services agreements (MSAs)
    • Purchase and sales agreements
    • Employment-related agreements, as appropriate
  • Provide legal advice to internal stakeholders regarding contract interpretation, compliance, and risk management.
  • Lead or support corporate and strategic transactions, including mergers and acquisitions, joint ventures, financing transactions, and business restructurings, as applicable.
  • Conduct legal due diligence and assist with the preparation, review and negotiation of transaction documentation.
  • Manage multiple matters and competing priorities while meeting deadlines in a fast-paced, collaborative environment.

Qualifications

  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law and membership in good standing in at least one U.S. jurisdiction.
  • Minimum of 4 years' experience in transactional law at a law firm or in-house legal department.
  • Demonstrated experience drafting and negotiating complex commercial contracts.
  • Strong knowledge of contract law and corporate law, and general transactional legal principles.
  • Excellent written, verbal, and interpersonal communication skills.
  • Strong analytical, negotiation, and problem-solving abilities.
  • Exceptional attention to detail and organizational skills.
  • Ability to collaborate effectively with business leaders, internal stakeholders, outside counsel, and cross-functional teams.

Preferred Qualifications

  • Experience with complex financial deals, syndicated deals, stock purchases and asset purchases in healthcare, technology, manufacturing, financial services, or other relevant industries.
  • Experience supporting mergers and acquisitions or other strategic transactions.
  • Familiarity with regulatory compliance and corporate governance.
  • Strong understanding of how legal strategy can support broader business and operational objectives.
