Job description

This full-time, fully remote Commercial Finance and Real Estate Finance Counsel role lets you work from anywhere in the U.S. We are seeking a self-directed attorney with (8+) years of experience to independently manage complex commercial financing and real estate financing transactions, primarily serving as borrower’s counsel for project finance and associated real estate transactions, for long-standing clients of our expanding law firm. Specific experience with financing solar energy projects a plus but not required.

Role Overview

Our growing law firm is seeking a highly skilled and entrepreneurial attorney to join our transactional practice. You will be fully responsible for drafting, reviewing, and negotiating a wide variety of sophisticated commercial financing and real estate financing documents. Our law firm is east coast based and therefore candidates in time zones other than east coast must be comfortable with an early work start. This position is fully remote, although the law firm has a brick-and-mortar office in Newark, NJ, should the successful candidate prefer an in office or hybrid role.

Key Responsibilities: Some or all of the following

  • Contract Negotiation: Draft and negotiate complex commercial financing and real estate financing contracts including loan agreements, guaranty agreements, promissory notes, security agreements, UCC financing statements, and other related contracts.
  • Title Review: Analyze title commitments, identify potential curative issues, and coordinate with title companies to resolve roadblocks.
  • Closing Management: Coordinate with client and counterparties to develop and compile all applicable closing documents to smoothly close transactions, including operating agreements, UCCs, opinions, closing certificates, etc.
  • Client Advisory: Serve as the primary point of contact for clients, delivering clear, actionable, and business-focused legal guidance.

Qualifications & Requirements

  • Experience: Minimum of 8 years of experience, primarily in commercial financing and real estate financing. Knowledge of financing structures for solar energy projects and related contracts is a plus but not required.
  • Licensing: Active J.D. and a member in good standing of any state Bar Association. Admission in NY and/or NJ a plus but not required.
  • Proficiency: Deep, demonstrable expertise in commercial financing and associated real estate contract negotiations.
  • Remote Competency: Proven track record of managing a sophisticated legal workflow independently and ability to communicate flawlessly with a distributed team.
