Direct Counsel is seeking a Corporate Incentives Associate Attorney with 6+ years of experience to join the Corporate practice of a leading global law firm. This opportunity is open to candidates in multiple U.S. offices and is ideal for an attorney with substantial experience advising domestic and international companies on economic development incentives, corporate expansions, relocations, and major development projects.

The successful candidate will advise clients across a wide range of industries on the development of corporate headquarters, manufacturing and distribution facilities, data centers, and large office projects, while identifying and negotiating discretionary economic development incentives. This is a high-volume, fast-paced practice with an integrated team serving sophisticated global clients.

Qualifications
  • J.D. from an accredited law school

  • 6+ years of relevant experience

  • Experience advising domestic and international companies on U.S. expansion and relocation projects

  • Experience with economic development incentives, including identifying, structuring, and negotiating discretionary incentives

  • Experience involving corporate headquarters, manufacturing and distribution facilities, data centers, large office projects, or other significant development initiatives preferred

  • Experience at an AmLaw 100 firm preferred

  • Admission to practice in the state where the candidate will be based

  • Strong academic credentials

  • Excellent analytical, writing, and verbal communication skills

  • Strong business judgment and attention to detail

  • Excellent organizational and project management skills

  • Ability to work effectively both independently and collaboratively

  • Process-driven, proactive, and entrepreneurial approach

  • Ability and willingness to mentor junior attorneys

Responsibilities
  • Advise domestic and international companies on economic development strategies related to U.S. expansion and relocation

  • Identify and evaluate available federal, state, and local economic development incentives

  • Assist clients with the development and expansion of corporate headquarters, manufacturing and distribution facilities, data centers, and large office projects

  • Structure, negotiate, and document discretionary economic development incentives

  • Conduct legal and regulatory research to support client strategies and transactions

  • Draft and review agreements, contracts, correspondence, and other legal documents

  • Manage complex matters from inception through completion, including negotiations and closings

  • Develop strong relationships with sophisticated domestic and international clients

  • Collaborate with attorneys and professionals across multiple practice areas and offices

  • Provide practical, business-focused legal advice in a fast-paced environment

  • Mentor and support junior attorneys on the team

  • Stay current on relevant laws, regulations, and economic development programs

  • Participate in firm initiatives, professional organizations, and pro bono activities

Position Details
