I.    JOB SUMMARY 


Emergent is looking for a Senior Counsel to provide legal support across corporate governance, securities compliance, and mergers and acquisitions activities.  

II.    ESSENTIAL FUNCTIONS

Corporate Governance & Securities

  • Support the legal department in advising the Board of Directors, board committees, and senior management on corporate governance matters, as directed by the SVP, General Counsel and Corporate Secretary
  • Assist with preparation and review of SEC filings and related disclosures, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings (including managing 10b5-1 plan process and preclearance approvals)
  • Support securities law compliance under the Securities Act of 1933, the Exchange Act of 1934, stock exchange rules, and related regulations
  • Manage Emergent subsidiaries, including international subsidiaries, with respect to compliance and filings in coordination with tax and finance departments

Mergers & Acquisitions / Corporate

  • Support domestic and cross-border M&A transactions from inception through closing
  • Assist with legal due diligence, transaction management, and integration planning
  • Draft, review, and negotiate transaction documents including NDAs, LOIs, purchase agreements, merger agreements, and ancillary agreements
  • Coordinate with outside counsel and internal stakeholders to manage transaction timelines and deliverables
  • Support corporate finance and strategic initiatives, including joint ventures and other growth projects

ESG Reporting & Disclosures

  • Partner with internal stakeholders and outside consultants to develop the annual ESG report.

General Legal & Special Projects

  • Provide general corporate legal support across the business
  • Assist with special projects involving senior management and cross-functional teams
  • Support operational excellence initiatives within the legal department

III. MINIMUM EDUCATION, EXPERIENCE, SKILLS

Education/Bar Membership: 

  • J.D., licensed to practice law in the United States
  • Active membership and in good standing in a state bar

Experience:

  • 6-9 years of experience in-house, or at law firm
  • Experience with M&A transactions and general corporate matters required
  • Experience managing corporate subsidiaries, including international subsidiaries required

Knowledge: 

  • Strong technical knowledge of securities law, public company reporting, and corporate governance required
  • Working knowledge of public company equity plans and experience supporting administration strongly preferred
  • Strong drafting, analytical, and organizational skills
  • Ability to manage multiple matters in a fast-paced, global environment
  • Strong communication skills and sound business judgment

  • Excellent oral and written skills
  • Self-motivated, strong leadership, works well independently on projects, meets project deadlines, handles multiple projects, and is able to effectively communicate complex legal concepts to business colleagues
  • Sound conflict resolution skills and ability to work in a collaborative, global environment
  • Effective decision making; proven ability to assess and calibrate and effectively communicate legal risks to senior management and others.
  • Maintain an enterprise view in developing and delivering legal guidance to client base
  • Manage outside counsel as needed

U.S. Base Pay Ranges and Benefits Information

The estimated annual base salary as a new hire for this position ranges from [$206,500 to $250,000]. Individual base pay depends on various factors such as applicant’s education, experience, skills, and abilities, as well as internal equity and alignment with market data.  The salary may also be adjusted based on applicant’s geographic location.  Certain roles are eligible for additional incentive compensation, including merit increases, annual bonus, [and/or long-term incentives in the form of stock options.]
