Position Summary:
The Enterprise Risk Management Officer & General Counsel (ERMO & General Counsel) is responsible for establishing and leading Andesa's internal legal function and enterprise risk management program. This role provides strategic and practical legal counsel to the Senior Leadership Team (SLT) and business leaders across the organization, supporting company strategy, day-to-day operations, and long-term growth.
The General Counsel delivers legal guidance on corporate, commercial, regulatory, and operational matters; manages internal and external legal resources; and supports complex business negotiations, contracts, and transactions. This role partners closely with leadership to enable sound decision-making while appropriately balancing risk and business objectives.
As Enterprise Risk Management Officer, this position leads the Risk Management Organization and oversees enterprise-wide risk identification, assessment, mitigation, and governance. The ERMO ensures alignment with regulatory requirements, supports operational resilience, and embeds risk awareness into policies, planning, and organizational decision-making.
This role plays a critical part in Andesa's strategic direction and future growth and is expected to provide company-wide legal and risk leadership in a manner consistent with Andesa's vision, mission, and values, while being mindful of employees, clients, and other stakeholders.
Primary Job Responsibilities:
General Counsel
  • Primary legal support in contracting/commercial transactions and related areas for the SLT, HR, Business Development/sales, customer relationships, Technology, Operations, compliance, data privacy, procurement, and facilities functions.
  • Drive efficiencies and competencies in the use of legal support, review and involvement through internal resources and outside resources as necessary.
  • Proactively seek opportunities to help the business through partnering around key initiatives including identification of risk, risk management, data governance, contracting and related processes/process improvement, cost avoidance and cost savings, crisis management, and government affairs.
  • Oversight of commercial dispute resolution and litigation, including retaining and management of outside counsel or other outside legal support, and related cost containment.
  • Process improvement, risk and change leadership for contracting, risk identification and risk management.
  • Develop and update standard contracting policies, guidelines and template language. Seek opportunities through process improvement to review and optimize the value of standardized terms and conditions to contribute toward shorter contracting times and time to production.
  • Support the development and use of contract management, document management and other technology tools or functionality to streamline roles and reduce duplicative research by the business around contracting terms and obligations.

Enterprise Risk Management
  • Oversee the enterprise risk management framework, ensuring consistent identification, assessment, and mitigation of strategic, operational, financial, and compliance risks.
  • Facilitate cross-functional risk reviews, partnering with Technology, Operations, Finance, HR, and Client Experience to evaluate emerging risks and implement mitigation plans.
  • Ensure risks are documented, monitored, and escalated appropriately.
  • Develop and refine risk governance processes, including assessments and reporting to the SLT and Board/Board committees on key risk indicators and mitigation progress.
  • Ensure alignment between legal, compliance, and risk management activities, strengthening organizational resilience and regulatory readiness.
  • Lead risk education and awareness initiatives, promoting a culture of proactive risk identification and accountability across the organization.

Secondary Responsibilities:
  • Oversee corporate insurance programs, including renewals, claims coordination, and vendor management.
  • Support training initiatives related to contracting, commercial agreements, risk management, and compliance.
  • Assist with compliance activities, including data privacy, regulatory inquiries, and IT-related governance.
  • Provide support for Board of Directors initiatives, including preparation of materials and governance documentation.
  • Contribute to corporate governance processes, ensuring alignment with policies, procedures, and regulatory expectations.
  • Partner with HR on benefits and cross-functional support activities.
  • Maintain and enhance corporate policies and procedures, ensuring consistency and compliance.
  • Deliver training and awareness on legal, regulatory, and industry developments impacting the organization.
  • Support administrative aspects of 401(k) and employee benefits programs.
  • Perform additional responsibilities as assigned or identified.

Knowledge, Skills, and Abilities

Education, Training, and Experience
  • BA/BS and Juris Doctor.
  • Active member in good standing of the Pennsylvania Bar or at least one State Bar with the ability to obtain appropriate In-House Counsel and/or Authorized House Counsel status as required.
  • Minimum fifteen (15) years of relevant experience with major law firm(s) and in house corporate legal department preferred.
  • Demonstrated success in contracting, negotiation, drafting, compliance, information technology, and general commercial matters.
  • Strong analytical, communication and management skills.
  • Demonstrated ability to work with the business across various disciplines and levels.
  • Demonstrated ability to apply good commercial and legal judgment.
  • Demonstrated ability to effectively prioritize and manage multiple matters.
  • Diverse knowledge and experience in less traditional legal roles in supporting business objectives.

This is a full-time (40 Hours/Week) exempt position. Hours are flexible within core business hours. This position is fully remote reporting out of our office in Allentown, PA.
The pay range for this role is:
210,000 - 275,000 USD per year (Remote)
