ALLIANZ REINSURANCE OF AMERICA, INC.
AZRA is a specialty niche reinsurer, domiciled in California and licensed as an admitted insurer in 36 states (including District of Columbia), and is a qualified, accredited, or approved reinsurer in fifteen states. AZRA is a property casualty reinsurer which writes both prospective and legacy reinsurance. AZRA has specific expertise in run-off management of U.S. legacy insurance liabilities. It services Allianz Group affiliates and third parties including third party claims administration of asbestos, environmental, workers compensation, general liability, and construction defect liabilities. AZRA has approximately 150 employees located nationwide with the majority working on a remote basis. AZRA is rated "AA-" by Standard & Poor's. As of December 31, 2025, AZRA had total admitted assets of USD $3.6 billion and policyholders' surplus of $265 million.
The Counsel - Reinsurance position reports to the General Counsel who manages the AZRA Legal Team which supports multiple U.S. legal entities within Allianz Group including holding companies, special purpose investment vehicles and a reinsurance intermediary. This position plays a key role in providing legal support for AZRA's prospective reinsurance business, as well as other transactional matters. Responsibilities includes preparation, review and negotiation of prospective reinsurance term sheets, contracts, execution and management of governance approval processes and internal policies and procedures, and support for regulatory filings for approvals of transactions under the Insurance Holding Company Act and the California Insurance Code. Counsel is expected to provide timely assessment of legal issues and give customer focused and solution-oriented legal advice to the Company's Underwriting team and other business units and management.
What you do:
  • Reviews, prepares and negotiates legal and transactional documents, and related internal governance approvals, for prospective reinsurance transactions.

  • Provides transactional reinsurance related legal support and advice to business units and executive management on legal and regulatory issues impacting the Company's operations and business.
  • Supports affiliates on U.S. and international reinsurance transactions, and advises on U.S. regulatory and legal issues.
  • Researches and provides legal advice on legal and regulatory issues.
  • Monitors, reviews and provides analyses of new federal and state legislation laws and regulations that affect AZRA, affiliates and the reinsurance industry.
  • Advises the business on various matters, including interpretation and application of terms of agreements, corporate rules, and policies and corporate organizations documents.
  • Provides legal advice and expertise in an efficient and effective way that enables the business to achieve strategic and commercial goals.
  • Utilization of artificial intelligence tools and resources (e.g. generative Al).

What you bring:
  • Juris Doctor degree (JD) from an ABA accredited law school
  • California State Bar license in good standing & required
  • 3-5 years of legal experience at a major law firm, specializing in the following areas: reinsurance and/or financial transactions, with experience in corporate governance and insurance regulation preferred.
  • Excellent academic credentials and reference
  • Solid business or transactional experience with excellent drafting skills
  • Strong analytical, oral, and written communication skills; Strong negotiation skills
  • Solid work ethic and high level of personal integrity and accountability; self-starter with ability to work independently and comfortably in a virtual/ remote set up
  • High degree of intellectual curiosity and a keen interest in learning new areas of law
  • Ability to make sound decisions, use independent judgment, think commercially, establish priorities and work effectively on multiple initiatives concurrently
  • Ability to define legal issues and evaluate legal risks, think creatively and strategically, and find innovative approaches to legal issues in support of business initiatives and objectives
  • Sound management and interpersonal skills with a demonstrated ability to work effectively within a team and to build strong relationships with colleagues from all business and geographical areas of the Company
  • Ability to analyze, research, and communicate legal issues regarding statutes and regulations affecting the insurance and financial services industry
  • Ability to understand and draft complex agreements and transactions and communicate to senior business leaders
  • Proficiency with Microsoft Office (Excel, PowerPoint, Word), online legal research tools, and enthusiasm for embracing new technologies
  • Ability to develop new areas of subject matter expertise, advise on and provide support with respect to a variety of general corporate matters and initiatives.

Job Posting Range $140,000.00 - $210,000.00
Note the job posting range is exclusive of company benefits or other compensation. This role is also eligible for an annual incentive program. If you are hired, your final base salary will be determined based on factors such as geographic location, experience, skills, competencies, and/or education. In addition to those factors, we will also consider internal equity of our current employees. Please keep in mind that the range provided is the full base salary range for the role. Hiring at or near the maximum of the range would not be typical to allow for future and continued salary growth.
