Job description

The Senior Corporate Paralegal is responsible for supporting the Legal Department in the preparation, review, and management of customer-facing and corporate agreements. This role partners closely with internal business stakeholders to facilitate efficient contract execution, ensure compliance with applicable laws and company policies, and support the organization’s commercial operations under the direction of the VP of Legal Services.

This is a hybrid or remote role in the Irvine, CA or Downers Grove, IL office.

ESSENTIAL FUNCTIONS & RESPONSIBILITIES:

  • Prepare, review, and negotiate a high volume of customer contracts, including master service agreements, amendments, and related commercial documents
  • Draft, review, and manage non-disclosure agreements (NDAs), letters of intent (LOIs), and other preliminary business arrangements
  • Partner with internal departments to support contract lifecycle management and ensure alignment with business objectives
  • Coordinate contract execution, tracking, and organization
  • Drive contract process efficiency and scalability by streamlining workflows, standardizing procedures, and implementing process improvements
  • Maintain and update standardized contract templates, playbooks, and clause libraries
  • Identify contractual risks and escalate issues appropriately
  • Support compliance with applicable laws and corporate policies
  • Assist with corporate governance and regulatory compliance matters
  • Monitor and communicate updates to contract-related processes and policies
  • Collaborate with internal teams and outside counsel on specialized contract matters
  • Conduct legal research to support the Legal department and business stakeholders
  • Support other legal and operational projects, with additional duties as assigned

KNOWLEDGE & SKILLS:

  • Strong understanding of contract law principles and commercial contracting practices
  • Experience reviewing and negotiating customer-facing agreements
  • Ability to identify, analyze, and mitigate contractual risk
  • Excellent communication and organizational skills
  • Excellent attention to detail
  • Strong interpersonal, time management, and organizational skills with the ability to manage multiple projects concurrently
  • Ability to work both independently and within a team environment
  • High degree of professionalism and confidentiality
  • Advanced proficiency in Microsoft Office
  • Experience with Ironclad and Salesforce strongly preferred

EDUCATION & EXPERIENCE:

  • Bachelor’s Degree or paralegal certification required
  • Master’s Degree preferred
  • 7+ years of experience supporting commercial contracts in a corporate environment

PAY RANGE:

CorVel uses a market based approach to pay and our salary ranges may vary depending on your location. Pay rates are established taking into account the following factors: federal, state, and local minimum wage requirements, the geographic location differential, job-related skills, experience, qualifications, internal employee equity, and market conditions. Our ranges may be modified at any time.

For leveled roles (I, II, III, Senior, Lead, etc.) new hires may be slotted into a different level, either up or down, based on assessment during interview process taking into consideration experience, qualifications, and overall fit for the role. The level may impact the salary range and these adjustments would be clarified during the offer process.

Pay Range: $70,276 – $116,942
