  • This is a remote position.

The pay range for the Counsel - Vendor Management & Privacy is $100,000 to $150,000, with anticipated pay for new hires between the minimum and midpoint of the range and could vary above and below the listed range as permitted by applicable law. Pay is based on non-discriminatory factors including but not limited to work experience, education, location, licensure requirements, proficiency and qualifications, and company tenure & equity. In addition to base compensation, this role is eligible for an annual incentive plan based on company performance and individual performance.

Counsel - Vendor Management & Privacy Overview

As Counsel, you will be responsible for analyzing legislation and regulatory requirements, preparing, and interpreting legal documents, and reviewing company policies to ensure compliance, and mitigate risk. You will work as a business partner, providing legal advice and support to the benefit of the Company’s goals, strategy, and values. 

Essential Duties:

  • Review contracts with vendors and partners to identify gaps in privacy controls and other obligations. Ensure contract compliance.
  • Review contracts to ensure IT Security language is at industry standard and enhanced as needed.
  • Review contracts and vendor management agreements to determine data flows to and from third parties and ensure contractual language is effective for such data flows.
  • Review contracts as necessary language in regards to the usage of Generative AI technology in the insurance industry.
  • Support the completion of major audits, including SOC 2 and other privacy related audits.
  • Work directly with vendors to coordinate contract negotiations, amendments and renewals.
  • Work with business stakeholders to get Data Processing Addendums and Business Associate Agreements executed with relevant vendors.
  • Review and draft amendments to complex insurance contracts as needed.
  • Partner with Finance to ensure vendor contracts meet all appropriate budgetary requirements.
  • Other duties as assigned.

Required Knowledge, Skills and Abilities:

  • Must have familiarity with HIPAA and state and federal data privacy laws.
  • Must have background in contract law, contract drafting, and familiarity with SAAS contracting.
  • Outstanding communication skills, both oral and written, with the ability to engage a wide range of audiences.
  • Ability to be a key business partner.
  • Analytical ability to interpret statues, regulations, insurance policies, and other contracts.
  • Interpersonal skills with the ability to be seen as a trusted advisor   
  • Decision-making ability to set work priorities and make recommendations .
  • Strong negotiation and diplomacy skills, unquestionable integrity, strong work ethic, strong business acumen, and good judgement.

Required Education and Experience:

  • Juris Doctorate Degree from an accredited law school. 
  • Active member of a US State bar.
  • 2+ years of experience as a practicing lawyer.
  • Or, equivalent military experience.

Preferred Education and Experience:

  • 5+ years of experience as a practicing lawyer.
  • Experience in Insurance Regulation and/or experience in highly regulated environment or industry.
  • Experience in federal and/or state regulatory requirements governing Life, Disability, Dental, Supplemental and/or Absence and Leave Management Insurance products.
  • CIPP Certification.
