Responsibilities

The VP, General Counsel is responsible for overseeing and executing all legal matters for Berkley Embedded Solutions and Berkley One, with primary responsibility for consumerfacing legal issues, vendor and commercial contracting, regulatory compliance, privacy and data security, and internal governance. This role serves as a key strategic advisor to executive leadership while also providing handson legal support for daytoday business operations, ensuring compliance with state and federal requirements and adherence to corporate legal mandates.

We'll count on you to:

  • Provide legal leadership and primary legal support including billing, marketing, privacy, edelivery, data use, and vendor relationships, and other matters.
  • Draft, review, negotiate, and manage a broad range of commercial agreements, including vendor agreements, nondisclosure agreements, and clientspecific confidentiality arrangements, ensuring inclusion of required corporate clauses and appropriate escalation to corporate legal when necessary.
  • Oversee execution of corporate mandates related to contracting standards, document retention guidelines, approved clauses, escalation protocols, and postexecution vendor monitoring.
  • Advise the business on regulatory and compliance requirements applicable to consumer operations, including nonproductrelated regulatory changes, credit use and adverse action requirements, contingent commission arrangements, and consumer disclosure obligations.
  • Provide legal guidance on data privacy, data security, and emerging technology issues, including interpretation of federal and state privacy and security laws, AI governance, social media use in marketing, and enforcement of corporate policies related to AI, recordings, and technology usage.
  • Address and manage consumer complaints arising from billing practices, marketing activities, privacy issues, vendors, and edelivery, including development of compliant remediation and riskmitigation strategies.
  • Support internal governance initiatives, including development and maintenance of committee charters, certifications, attestations, and collection and retention of governance artifacts.
  • Advise on intellectual property, ebusiness initiatives, and other evolving legal issues impacting consumer insurance operations.
  • Partner with executive leadership and crossfunctional teams to proactively identify legal risks and develop pragmatic, businessaligned solutions.
  • Coordinate with corporate legal and external counsel as appropriate, including escalation of material risk issues and enterpriselevel compliance matters.
  • Monitor changes in laws, regulations, and corporate edicts affecting the business and ensure timely implementation and compliance.
  • Provide training and guidance to internal stakeholders on legal, regulatory, and governance requirements relevant to their functions.
  • Other work as assigned.
Qualifications
  • Juris Doctor (JD) from an accredited law school.
  • Member in good standing of a state bar association.
  • 10+ years of progressive legal experience, preferably within insurance, financial services, or a highly regulated consumerfacing business.
  • Demonstrated expertise in consumer regulatory matters, including billing and disclosure requirements, privacy, data security, adverse action, and consumer complaint management.
  • Significant experience drafting, reviewing, and negotiating commercial agreements, including vendor agreements, NDAs, and clientspecific confidentiality arrangements.
  • Strong working knowledge of federal and state privacy and data security laws, with experience advising on data use, information security, and emerging technologies.
  • Experience advising on technologyenabled and digital business models, including ebusiness operations, social media marketing, and AIrelated governance considerations.
  • Proven ability to interpret and operationalize regulatory changes and corporate legal mandates into practical, businessaligned guidance.
  • Experience supporting internal governance frameworks, including committee structures, certifications, attestations, and document retention requirements.
  • Strong judgment and ability to independently identify legal risk, determine appropriate escalation, and balance risk mitigation with business objectives.
  • Excellent communication and collaboration skills, with the ability to advise senior leaders and partner effectively with crossfunctional stakeholders.
  • Highly organized, adaptable, and comfortable operating in a fastmoving environment with competing priorities and evolving regulatory expectations.
