Job Description Summary
The Legal Counsel serves as a trusted legal advisor to the company's business and operational teams, providing advice on commercial contracting, healthcare regulatory compliance, privacy matters, and legal risk management. This position is responsible for drafting and negotiating complex commercial contracts (including pharmaceutical rebate contracts and pharmacy participation agreements), supporting the compliance and privacy programs, obtaining and maintaining state and federal licenses, and partnering with cross-functional teams to develop pragmatic solutions that advance the company's business objectives while ensuring compliance with applicable laws.

Job Description

Drafts, reviews, negotiates, advises business stakeholders on, and administers a broad range of commercial agreements, including pharmaceutical manufacturer rebate agreements, value-based arrangements, technology agreements, NDAs, DUAs, consulting agreements, and vendor contracts. Assists in the development and enhancement of contract templates, playbooks, and negotiation standards.
Provides support and assistance to more experienced attorneys.
Provides legal advice and strategic counsel to business stakeholders; produces routine legal work product, including drafting and negotiating contracts, procuring and maintaining licenses, etc. Assesses legal risks for day-to-day company legal, regulatory, and compliance matters under supervision and direction. Monitors legislative and regulatory activity and advises the business on the interpretation, application, and implementation of new requirements across the healthcare legal and regulatory landscape. Assists with dispute resolution, audits, risk assessments, corporate trainings, investigations, and responses to regulatory inquiries. Assigned internal clients may include one or more of the following: Trade Relations, Client Relations, Operations and Invoicing, Pharmacy Supply Chain, IT, Analytics, Compliance, Licensing, and Finance.
Builds professional experience and learns the practical aspects of applied law, as well as the functions of the business.


Qualifications:
Education

  • Required JD from accredited law school

Experience

  • Required 7+ Years related experience in a law firm, health plan, pharmacy benefit manager, group purchasing organization, pharmaceutical manufacturer, or related health care organization. Direct experience supporting pharmacy or medical rebate contracting and health care compliance and/or privacy programs preferred.


Knowledge Skills and Abilities

  • Advanced written and oral communication skills
  • Advanced organizational and project management skills, including follow through skills
  • Advanced legal research, analysis and drafting
  • Strong analytical, critical-thinking, and problem-solving skills
  • Broad healthcare contracting experience, including pharmaceutical rebate contracting
  • Advanced knowledge of healthcare insurance industry, including state and federal regulatory environment, group purchasing organization and/or pharmacy benefit manager operations, etc.
  • Familiarity with government healthcare programs, privacy laws, and industry-standard healthcare compliance rubrics


Certifications & Licenses

  • Required: Licensed Attorney (varies by state) - Various Active license to practice law in at least one U.S. jurisdiction.

A candidate's position within the hiring range may be based on several factors including, but not limited to, specific competencies, relevant education, qualifications, certifications, relevant experience, skills, seniority, performance, shift, travel requirements, and business or organizational needs.This job is also eligible for annual bonus incentive pay.
