Job description

Pure Power Engineering is seeking an experienced Contract & Commercial Terms Specialist to support the review, negotiation, revision, and execution of client contracts. This role is ideal for an experienced paralegal, contract administrator, contracts manager, retired attorney, or other contract professional seeking flexible, part-time work.
The successful candidate will serve as a key member of the commercial and operations team, helping negotiate agreements, reduce contractual risk, and ensure contractual terms accurately reflect Pure Power's professional engineering services scope and business practices for our growing company.
This individual will work directly with clients, sales personnel, project managers, and leadership throughout the contract lifecycle, from initial review through final execution.

As a full-service engineering firm, we create the electrical and structural drawings and calculation packages for bidding, permits and construction, as well as supporting the lead up to the full engineering drawings, primarily interconnection support and electrical/structural feasibility studies.

Primary Responsibilities
  • Review and analyze:

o Master Service Agreements (MSAs) and Professional Services Agreements (PSAs)
o Purchase Orders (POs) and Statements of Work (SOWs)
o Client Terms and Conditions
o Subconsultant Agreements
o Client-requested revisions to Pure Power proposals and contract documents
  • Prepare detailed contract redlines, including:

o Additions
o Deletions
o Modifications to existing language
o Alternative language recommendations
  • Document negotiation positions and provide comments explaining:

o Contractual risks
o Business implications
o Recommended revisions
o Legal and commercial rationale for proposed changes
Client Negotiation Support
  • Communicate directly with clients regarding contractual revisions.
  • Participate in contract negotiation calls and meetings.
  • Explain Pure Power's contract positions and proposed revisions.
  • Facilitate resolution of contract issues to reach mutually acceptable agreements.

Contract Administration
  • Manage agreements throughout the full contract lifecycle.
  • Coordinate internal review and approval processes.
  • Track negotiations and revision history.
  • Ensure final execution of agreements by all parties.
  • Maintain accurate contract records and version control.

Risk Assessment
  • Identify and evaluate contractual risks related to:

o Indemnification provisions and limitation of liability
o Standard of care, warranties, guarantees, consequential and liquidated damages
o Intellectual property
o Change management, scope creep, schedule and delay obligations
  • Recommend revisions that align with Pure Power's business objectives and risk management standards.

Internal Collaboration
  • Work closely with Operations, Sales, Project Management, and Engineering Leadership
  • Assist with development and maintenance of:

o Contract templates
o Standard clause libraries
o Negotiation playbooks
o Contract review procedures
Other tasks as assigned.
Requirements
Required Experience
  • Minimum 7 years of experience reviewing and negotiating commercial contracts.
  • Associates degree in related field; Bachelor's degree or higher preferred.
  • Demonstrated experience redlining and negotiating:

o MSAs
o Professional Services Agreements
o Purchase Orders
o SOWs
o Client commercial terms and conditions
  • Strong understanding of contract structure, risk allocation, and commercial negotiations.
  • Excellent written and verbal communication skills.
  • Ability to work independently with limited supervision.

Preferred Experience
  • Paralegal certification and/or substantial contract management experience.
  • Former attorney or retired attorney seeking flexible part-time work.
  • Experience supporting professional services organizations.
  • Experience working with engineering, architecture, consulting, or design firms.
  • Familiarity with construction, EPC, energy, or renewable energy industries.

The ideal candidate understands how professional engineering firms typically negotiate and manage contractual risk differently than contractors and can recognize when contract language improperly shifts contractor-level risk to a professional services provider.
Work Schedule
Position is part-time allowing for a flexible work schedule. Must be able to work 16-25 hours per week.
Hourly Rate
$55- 85/per hour
Location
This position is fully remote, with preference to candidates working in Eastern Standard Time.
