Job description

Direct Counsel is seeking an experienced Midlevel Corporate M&A Associate to join the Corporate/M&A practice of a prestigious, nationally recognized law firm.

This is an excellent opportunity for a talented corporate attorney to join a sophisticated transactional practice handling complex M&A matters for a diverse client base. The associate will work closely with experienced attorneys, receive active mentorship, and have opportunities to assume increasing levels of responsibility and direct client contact.

The position may be based in Charleston, Charlotte, Kansas City, Miami, Nashville, Pittsburgh, Portland, Raleigh, or Seattle.

Qualifications

The ideal candidate will have 3–5 years of substantive Corporate/M&A experience. Experience representing private equity clients in transactional matters is strongly preferred.

Candidates should have experience with:

  • Drafting, reviewing, and negotiating merger agreements, stock purchase agreements, asset purchase agreements, letters of intent, and related transaction documents
  • Private equity transactions
  • Partnership agreements, joint ventures, and limited liability company operating agreements
  • Managing and closing M&A and related corporate transactions
  • Conducting comprehensive legal due diligence
  • Representation and warranty insurance underwriting and related matters
  • Advising clients regarding general corporate, entity, governance, and business matters
Candidate Profile

Successful candidates will be self-starters who can work effectively both independently and collaboratively as part of a sophisticated transactional team. Candidates must possess:

  • Excellent drafting, analytical, and communication skills
  • Demonstrated ability to manage multiple aspects of complex transactions
  • Strong attention to detail and organizational skills
  • Commitment to providing exceptional client service
  • Ability and desire to assume increasing responsibility and client interaction
Compensation

The anticipated base salary range for this position is $205,000–$340,000 per year.

Actual compensation will be determined during the interview process and may vary based on factors including prior experience, relevant expertise, office location, current business needs, and market considerations. Associates may also be eligible for performance-based bonuses and other compensation.
