Position: Senior Corporate Counsel

Our mission is to make specialty care more accessible, efficient, and equitable by improving operations at community care organizations, infusion centers, and specialty providers.

Job Overview:

Senior Corporate Counsel is a senior individual contributor supporting Coral's commercial and corporate legal work. You'll work closely with senior executives and the Chief Legal Officer on the contracts, corporate work, and healthcare regulatory questions that keep the business moving. The work reaches across every line of business, and it plays a real part in how Coral serves more providers and patients.

We're a small, nimble legal team, supported by national, top-tier healthcare law firms. Coral is a technology-enabled company, and that extends to how we work, so you'll have room to help build more efficient, tech-enabled ways of getting things done as the function grows.

Day to day, this role is about helping the business move. You partner with executives and other teams to structure and close the agreements that let each line of business grow, and you support the partnerships, transactions, and programs that bring Coral's services to more providers and patients. Where healthcare and regulatory questions come up, such as 340B and HIPAA, you help the business work through them.

 

Responsibilities:

Your key responsibilities will include:

  • Draft, review, and negotiate the commercial agreements Coral relies on, including master services agreements, SaaS and data agreements, vendor and sourcing contracts, NDAs, business associate agreements, and statements of work. Some are complex and multi-party, such as arrangements under the 340B program.
  • Support corporate and transactional work, including governance and entity matters, board and member resolutions, corporate records, financings, and transactions such as diligence, execution, and integration.
  • Help the business work through healthcare and regulatory questions when they come up, such as 340B, the Anti-Kickback Statute, and HIPAA.
  • Partner with business, operations, and people teams on day-to-day legal questions to keep work moving.
  • Support employment questions across our remote, multi-state workforce as they arise.
  • Help manage legal risk, disputes, and demands, and work with outside counsel where it makes sense.
  • Improve the templates, playbooks, and tools the legal team uses so support keeps pace as Coral grows.
  • Keep track of legal and regulatory changes relevant to Coral and turn them into practical guidance.
  • Other duties as assigned.

Qualifications:

To excel in this role, you should possess the following qualifications:

  • J.D. from an accredited U.S. law school.
  • Active license to practice law and current good standing with a U.S. state bar.
  • Typically 8-12 years of combined law firm and in-house experience, with a substantial in-house component (strong candidates outside this range are welcome to apply).
  • Demonstrated commercial contracting experience, including comfort with complex, multi-party agreements.
  • Clear written and verbal communication and sound, practical business judgment.
  • Strong organizational and project-management skills, and the ability to work well with cross-functional teams in a remote setting.
  • Corporate and governance experience, such as board resolutions, entity work, and financings.
  • M&A transaction exposure.
  • Healthcare law familiarity is a plus but not required (for example, the Anti-Kickback Statute, corporate practice of medicine, 340B, or HIPAA).
  • Employment law exposure.
  • Experience supporting a high-growth, technology-enabled, or venture/PE-backed company.

 

Education:

J.D. from an accredited U.S. law school.

 

License Requirement:

An active license to practice law in a U.S. jurisdiction, in current good standing, is required. Coral will support any in-house counsel registration that applies based on where you live and work. Florida bar admission is a plus but not required.
