Description

Position Summary

The Corporate Counsel serves as IWS's lead in-house legal resource and strategic advisor to the business. This role owns a broad scope of legal matters including commercial contracts, litigation management, corporate governance, M&A support, employment matters, and regulatory compliance.


You will partner closely with leadership and functional teams to provide practical, business-oriented legal guidance, while managing outside counsel across specialized areas. This is a highly visible role with direct impact on company operations and growth.

Key Responsibilities 

Commercial Contracts

  • Lead review, negotiation, and execution of customer, vendor, and supplier agreements
  • Develop and maintain contract templates, playbooks, and approval workflows
  • Improve contract lifecycle processes and drive efficiency
  • Advise on complex or high-risk contractual matters

Litigation & Risk Management

  • Manage litigation strategy, outside counsel, and budgets
  • Lead dispute resolution efforts including mediation and pre-litigation matters
  • Oversee insurance claims and risk mitigation processes

Corporate Governance

  • Support board and committee materials and corporate records
  • Manage entity structure, compliance, and documentation
  • Ensure compliance with sponsor and lender requirements

Mergers & Acquisitions

  • Support diligence, contract review, and transaction execution
  • Partner with outside counsel on deal structuring
  • Lead post-merger integration from a legal perspective

Employment & Labor

  • Handle employment agreements, policies, and compliance
  • Advise on employment-related matters and investigations
  • Coordinate with external employment counsel as needed

Regulatory & Compliance

  • Ensure compliance with applicable regulations, including international standards
  • Support privacy, data protection, and anti-corruption compliance
  • Coordinate with international counsel on cross-border matters

Requirements

Required

  • JD with active bar membership in good standing
  • 10+ years of legal experience with significant in-house exposure
  • Strong experience in commercial contracts and negotiations
  • Experience supporting M&A transactions and integration
  • Proven ability to manage outside counsel and legal budgets
  • Working knowledge of corporate governance and compliance
  • Experience with employment law and multi-state compliance
  • Familiarity with international regulations (e.g., GDPR, FCPA)
  • Strong business judgment and ability to operate independently across a broad legal scope

Preferred

  • Experience in industrial services, construction, or manufacturing
  • Familiarity with construction-related legal frameworks
  • Experience with international operations or multi-jurisdictional environments
  • Background in private equity-backed or high-growth organizations
