Corporate Paralegal (Part-Time or Full-Time)

Cincinnati, OH
In-office preferred | Hybrid possible

The Role

The Corporate Paralegal supports the General Counsel and Legal Department in a wide range of corporate and transactional matters. This role is responsible for maintaining corporate records, supporting governance activities, assisting with contracts and compliance initiatives, and providing general administrative and project support across the legal function. The position works closely with internal stakeholders across the organization and may support affiliated entities as needed.

We are open to candidates seeking either part‑time or full‑time schedules (30–40 hours per week).

Key Responsibilities
  • Set up, manage, and close out legal department projects supporting operational and corporate teams
  • Schedule and attend contract review meetings, risk committee meetings, and other corporate meetings; prepare minutes, memos, and correspondence
  • Assist with preliminary drafting and review of contracts and related documents
  • Draft and review corporate and organizational documents
  • Maintain and renew business licenses
  • Support corporate governance initiatives, including compliance, financing, and M amp;A or other corporate transactions
  • Review legal and business documents to identify potential legal issues and escalate as appropriate
  • Prepare subsidiary board and shareholder resolutions and coordinate execution
  • Maintain corporate minute books, records, and legal databases
  • Conduct legal research as requested
  • Support general administrative needs of the Legal Department
Qualifications
  • Bachelor’s degree and/or paralegal certificate
  • Must have 3+ years of corporate paralegal experience
  • Experience supporting in‑house legal teams preferred
  • Strong organizational skills and attention to detail
  • Ability to manage multiple priorities in a fast‑paced environment
