Job Description Summary

This role serves as a trusted legal advisor within Invesco's Legal team, partnering closely with colleagues across Product, Investments, Compliance, Finance, Distribution, and other business functions to provide practical, business-focused legal guidance on registered investment products and related regulatory matters. The position primarily supports Invesco's mutual funds, closed‑end funds, and exchange‑traded funds (ETFs), advising on disclosure, governance, product implementation, and other strategic legal and regulatory initiatives. The successful candidate will play a hands‑on role in overseeing the preparation and review of fund registration statements, shareholder reports, proxy materials, board materials, SEC filings, and other public disclosures, while helping to execute key product and corporate initiatives, including fund launches, mergers, reorganizations, and other activities. This position offers a unique opportunity to work on high‑profile regulatory and business initiatives, collaborate with senior legal and business leaders, and gain broad exposure to the legal, operational, and strategic aspects of the investment management industry.

The Department

The position will support the Assistant General Counsel, Disclosure, and a dynamic, collaborative team of legal professionals within Invesco’s broader U.S. Legal team.

The Role

The role will provide thoughtful, pragmatic legal advice within Invesco’s Legal team and will actively engage with internal clients and other business partners across Invesco’s Product, Investments, Compliance, Finance, Distribution and other teams on disclosure and related matters for Invesco’s family of mutual funds, closed‑end funds and exchange‑traded funds (ETFs), as well as other regulatory and corporate initiatives. The role includes providing legal advice and hands‑on oversight of the preparation, supervision and review of fund registration and related disclosure materials, execution of product line changes, fund mergers and reorganizations, shelf offerings, shareholder proxy materials, shareholder reports, other Securities and Exchange Commission (SEC) filings and public disclosure materials, and fund board materials. Overall, this is a unique opportunity to contribute to significant product, regulatory and disclosure initiatives, interact with senior legal and business leaders, and gain expanded responsibility and broad exposure to investment management legal and business issues.

Responsibilities of the RoleFund Disclosure & SEC Filings (Core Focus)
  • Fund disclosure materials, including initial and ongoing registration statement materials, statutory and summary prospectuses and supplements, statements of additional information, private placement memoranda (PPMs), fund proxy statements and related materials, and other materials filed on SEC Forms N‑1A, N‑2, N‑14 and Schedule 14A under the Investment Company Act of 1940 (“1940 Act”), Securities Act of 1933 (“1933 Act”), and the Securities Exchange Act of 1934 (“1934 Act”).
  • Product line changes, fund mergers and reorganizations, shelf offerings, implementation of regulatory changes, including engagement and advocacy on regulatory rule proposals, and current event‑driven changes.
  • Shareholder proxy initiatives, including preparation, supervision and review of materials related to shareholder voting on special and routine matters and at shareholder meetings.
  • Shareholder reports on SEC Form N‑CSR and other public disclosure information filed on Forms N‑CEN, N‑PORT and N‑PX.
  • Fund board materials.
Other Legal Advice, Regulatory Implementation & Stakeholder Support

The Legal Counsel will also: Work closely with internal legal colleagues and internal and external stakeholders, including independent fund auditors, fund counsel and independent trustee counsel, to support regulatory implementation of Invesco fund product initiatives by providing practical, solutions‑oriented advice that balances legal risk with commercial and strategic priorities. Provide legal counsel to internal and external stakeholders regarding other securities law‑related matters and other legal and corporate projects in support of Invesco’s business initiatives. Serve as a trusted legal advisor that demonstrates strong independent judgement, professional presence in interactions with senior legal leadership, business executives and other key stakeholders, and a client‑centric approach to build effective working relationships across Legal, Compliance, Finance, Investments and other business teams.

Requirements of the Role

Juris Doctor (JD) and active bar membership are required. At least 4- 6years of relevant legal experience, with a strong understanding of issues concerning registered and unregistered investment companies arising under the securities laws, with an emphasis on issues arising under the 1940 and 1933 Acts. Experience in a major law firm, the SEC or another relevant regulatory agency, and/or in‑house experience with an asset management firm, investment adviser or other relevant financial services organization is preferred. Strong background in regulatory disclosure, including experience with the SEC disclosure forms listed above, experience engaging directly with SEC staff regarding disclosure, registration and regulatory matters. Highly motivated, collaborative initiative‑taker with a desire to be an engaged member of Invesco’s Legal team; must be able to demonstrate strong project management and interpersonal skills while working both independently and as an integral part of an established team of attorneys; must also exhibit strong analytical, writing and communication skills, sound commercial judgment and the ability to translate complex legal issues into practical guidance.

Salary

The salary range for this position in Downers Grove is $160,000 - $175,000 base/year. The total compensation offered for this position includes salary and incentive pay and will vary based on skills, experience and location.
