Job description

Broadridge is seeking a Director, Client Policy to lead the management, quality, and delivery of objective event-driven data related to mergers & acquisitions, proxy contests, shareholder activism, and other complex corporate governance events. This role is responsible for ensuring the accurate collection, validation, structuring, and distribution of critical M&A and contested governance data used by institutional investors to support stewardship and proxy voting decisions globally. The Director will oversee global event workflows, data quality controls, and operational execution while partnering closely with Product, Technology, Operations, and Client Service teams to scale coverage and enhance platform capabilities.

Responsibilities:

M&A & Event Data Management

  • Lead the collection, validation, and delivery of M&A, proxy contest, and corporate governance event data across global markets.

  • Oversee key transaction data including deal terms, valuation metrics, approvals, ownership structures, regulatory requirements, and governance-related provisions.

Operational Execution & Data Quality

  • Ensure event data is accurate, timely, standardized, and audit-ready across internal systems and client platforms.

  • Manage workflows supporting proxy contests, activist campaigns, and transaction-related shareholder meetings.

  • Establish and maintain quality controls, validation processes, and exception management procedures.

Process Improvement & Partnership

  • Drive automation and operational scalability initiatives supporting complex event coverage.

  • Partner cross-functionally with Product, Technology, Operations, and Client Service teams to enhance data infrastructure and workflow efficiency.

  • Monitor corporate actions and market developments to ensure comprehensive event tracking.

Qualifications:

  • 8+ years of experience in proxy voting, M&A data, corporate governance, event-driven operations, or financial market data services.

  • Strong understanding of mergers & acquisitions, proxy contests, shareholder activism, and corporate governance processes.

  • Experience managing complex data operations, quality control frameworks, and deadline-driven workflows.

  • Strong analytical, organizational, and stakeholder management skills.

  • Experience with governance technology, proxy platforms, or financial data systems preferred.

Compensation Range: The salary range for this position is between $150,000 - $165,000 USD. Broadridge considers various factors when evaluating a candidate's final salary including, but not limited to, relevant experience, skills, international locations and education.
