Direct Counsel is seeking a Private Equity Associate to join a top Am Law 50 firm. This role offers the opportunity to work with private equity sponsors and portfolio companies in a highly regarded corporate practice.

Key Responsibilities:
  • Transaction Management – Oversee private equity and M&A transactions from inception to closing.
  • Drafting & Negotiation – Prepare and negotiate purchase agreements, merger agreements, LLC and LP agreements, and other transaction documents.
  • Client Advisory – Act as a strategic advisor, collaborating closely with clients on deal execution.
  • Project Leadership – Manage deal workflow and coordinate across multiple teams in a fast-paced environment.
Qualifications:
  • 4-5 years of private equity and M&A experience at a top law firm.
  • Strong drafting, negotiation, and analytical skills.
