Job Details

We are seeking an experienced corporate attorney to join a collaborative transactional practice focused on mergers and acquisitions, business transactions, and ongoing corporate advisory work. This role offers meaningful responsibility, direct client interaction, and the opportunity to lead matters while working alongside experienced attorneys on complex transactions. The ideal candidate enjoys balancing deal work with strategic counseling and is comfortable serving as a trusted advisor to privately held businesses throughout various stages of growth and operation.

Responsibilities
  • Lead and manage mergers, acquisitions, and other strategic business transactions
  • Draft and negotiate letters of intent, purchase agreements, and related transaction documents
  • Coordinate due diligence processes and support transaction execution through closing
  • Advise clients on corporate governance, business operations, and general legal matters
  • Support financing transactions, capital raises, and commercial lending matters
  • Provide practical legal guidance to business owners, executives, and management teams
  • Collaborate with attorneys across practice areas on complex transactions and advisory projects
  • Manage smaller transactions independently and contribute to larger, more sophisticated matters
Qualifications
  • 7+ years of transactional corporate law experience
  • Strong background in mergers and acquisitions and other business transactions
  • Experience drafting and negotiating complex transaction documents
  • Familiarity with due diligence, transaction structuring, and post-closing matters
  • Experience advising privately held businesses and business owners
  • Exposure to financing transactions, corporate governance, and capital formation matters
  • Understanding of tax considerations impacting business transactions is preferred
  • Experience leveraging technology and AI-assisted legal tools is a plus
  • Strong analytical, drafting, negotiation, and client counseling skills
Requirements
  • J.D. from an accredited law school
  • Active bar membership in good standing in state you will practice
  • Ability to independently manage transactions and client relationships
  • Strong business judgment and problem-solving abilities
  • Demonstrated ability to prioritize multiple matters in a fast-paced environment
  • Excellent verbal and written communication skills
  • Highly motivated with a collaborative and entrepreneurial mindset
  • Ability to work independently while contributing to a team-oriented practice
