Position Overview
We are seeking a skilled Tax Attorney to provide high-quality tax planning, compliance, and controversy services for corporate and high-net-worth clients. The successful candidate will advise on domestic and international tax issues, lead structuring and due diligence for mergers and acquisitions, and partner with Transaction Advisory Services teams to deliver pragmatic solutions. This role requires strong technical tax expertise, excellent client-facing skills, and the ability to manage complex engagements across multiple stakeholders.
Key Responsibilities
  • Provide tax advice and legal opinions on a broad range of federal, state, and international tax matters for corporate clients and high-net-worth individuals.
  • Lead tax structuring, planning, and execution for mergers, acquisitions, divestitures, reorganizations, and other complex transactions.
  • Conduct tax due diligence and prepare analysis and memos identifying tax risks and opportunities in transactions.
  • Collaborate closely with Transaction Advisory Services, finance, and accounting teams to deliver integrated tax and business solutions.
  • Draft and negotiate tax-related provisions in transactional documentation, purchase agreements, and shareholder/operating agreements.
  • Represent clients in tax controversies and disputes with tax authorities, including preparing responses, negotiating settlements, and, where necessary, managing litigation or administrative proceedings.
  • Provide proactive tax planning for HNWI and family offices, including estate, gift, and trust planning as it relates to tax optimization.
  • Stay current on legislative, regulatory, and judicial developments in tax law and translate impacts into practical client advice.
  • Supervise and mentor junior attorneys and staff, review work product, and support business development activities, including client proposals and presentations.
Qualifications
  • Licensed attorney in good standing with admission to practice in at least one U.S. jurisdiction; JD required.
  • Minimum 5 years of experience practicing tax law in a law firm, accounting firm, or in-house tax group, preferably with transactional and controversy experience.
  • Deep technical knowledge of federal, state, and international tax law and demonstrated experience advising on M&A transactions.
  • Strong experience with tax due diligence, tax structuring, and drafting tax provisions in transaction documents.
  • Excellent written and verbal communication skills with proven client-facing experience and ability to explain complex tax concepts to non-tax professionals.
  • Experience working with or advising high net worth individuals (HNWI) and family offices is highly desirable.
  • Nice to have: LLM in Taxation, CPA credential, prior experience in Transaction Advisory Services, and a track record on Mergers & Acquisitions matters.
  • Ability to manage multiple engagements, prioritize tasks, and work collaboratively in cross-functional teams.
