Role Summary

The Senior Counsel - Financial Transactions and Corporate Affairs (the 'Counsel') provides strategic, practical, and business-oriented legal advice to FINCA Microfinance Holding Company ('FMH'), its subsidiaries, affiliates, and shared services entities on a broad range of transactional, commercial, corporate, governance, and regulatory matters. This role combines sophisticated transactional legal expertise with broad corporate counsel responsibilities in a mission-driven, international environment.

The Counsel will lead and support complex legal initiatives involving loan agreements, debt instruments, bond offerings, guarantees, hedging, mergers and acquisitions, commercial contracting, corporate governance, intercompany arrangements, and other strategic corporate transactions. The position will also provide training to other attorneys in the FINCA network. The position will work closely with executive leadership, the Capital Markets function, Finance, Compliance, and operational subsidiaries across multiple jurisdictions.

The Counsel reports to the General Counsel and may independently manage significant legal matters while collaborating and supporting other entities across the global organization.

Duties and Responsibilities

Financial Transactions Responsibilities

  • Serve as primary legal advisor to FINCA's Capital Markets function with respect to debt facilities, bond issuances, guarantee and risk-sharing arrangements, impact investment structures, equity and quasi-equity investments and hedging transactions involving FINCA entities,
  • Draft, negotiate and review term sheets, loan agreements, guarantees, and other documents as needed for transactions, and examine all applicable legal issues, including tax consequences (in coordination with tax advisors) and regulatory approvals,
  • Arrange for and obtain board and shareholder approvals, as required,
  • Develop and maintain a standardized deal flow and standard terms, covenants and procedures for financial transactions and deals with lenders and other counterparties,
  • Coordinate legal due diligence for investments, financing activities, and strategic partnerships,
  • Support Treasury, Finance, and Capital Markets teams in transaction execution and portfolio management,
  • Manage relationships with internal and external counsel across multiple jurisdictions,
  • Provide training and guidance to attorneys operating in FMH subsidiaries on transactional matters.

Corporate and Legal Risk Management Responsibilities

  • Provide legal advice and strategic support on general corporate matters affecting FMH and its subsidiaries, affiliates, shareholders and shared services entities,
  • Support corporate governance activities, including Board and committee matters, corporate records, resolutions, minutes, governance policies, and entity management,
  • Advise senior management and Boards of Directors on governance, fiduciary duties, regulatory obligations, and corporate best practices,
  • Assist with corporate structuring, reorganizations, intercompany arrangements, and legal entity management across multiple jurisdictions,
  • Draft, review, and negotiate intercompany services agreements and other intra-group arrangements,
  • Support mergers, acquisitions, strategic partnerships, and other corporate initiatives as needed,
  • Coordinate with external counsel on domestic and international corporate, and regulatory matters,
  • Advise business leaders on legal and regulatory risks associated with operational and strategic initiatives,
  • Monitor developments in laws and regulations relevant to financial services, impact investing, anti-money laundering (AML), sanctions and anti-corruption, among others.
  • Develop and implement legal policies, procedures, and training programs,
  • Support enterprise risk management initiatives and internal compliance programs,
  • Assist with investigations, disputes, claims, and litigation management,
  • Support the General Counsel in appraising the performance of subsidiary Head Legal Officers,
  • Assist the General Counsel and Corporate on other projects as required.
Job Requirements

Qualifications

  • Juris Doctor (J.D.) and/or LLM from an accredited law school in the US,
  • Admission to practice law in DC and/or NY (active and in good standing).

Experience

  • Minimum of 10 years of relevant legal experience, including substantial experience in both corporate law, financing and international transactions,
  • Significant experience in international finance, banking, project finance, structured finance, investment funds, development finance, or related transactional practice. Substantial experience drafting and negotiating complex financial, debt and equity agreements,
  • Demonstrated experience advising on debt restructurings, liability management transactions, distressed investments, workouts, insolvency-related matters, and restructuring negotiations involving financial institutions, borrowers, investors, and other stakeholders across multiple jurisdictions,
  • Demonstrated experience leading and advising on cross-border mergers, acquisitions, divestitures, and strategic corporate transactions, including legal due diligence, transaction structuring, negotiation, regulatory approvals, and post-closing integration matters across multiple jurisdictions,
  • Experience supporting senior executive leadership.

  • Exercises discretion and independent decision-making on complex matters,
  • Excellent legal drafting, negotiation, and analytical skills,
  • Demonstrates strong organizational and project management skills, including the ability to manage multiple priorities simultaneously,
  • Strong negotiation skills,
  • High level of integrity, sound judgment, and discretion.

Language Skills

  • Fluency in English required. Fluency in Russian or French desired.
