Our Deloitte Strategy & Transactions team helps guide clients through their most critical moments and transformational initiatives. We offer comprehensive end-to-end support and advisory services, covering areas such as valuation modeling, cost optimization, restructuring, business design and transformation, infrastructure and real estate, mergers and acquisitions (M&A), and sustainability. The team works closely with clients at every stage of their journey, helping them navigate challenges, avoid financial pitfalls, and implement practical solutions before, during, and after major transformational projects or transactions creating long-term, measurable impact.

Work you'll do

As a Manager focused on financial due diligence, you will lead and contribute to engagements advising clients primarily on financial and accounting considerations associated with a wide range of transactions - including acquisitions, divestitures, minority investments, recapitalizations, joint ventures, carve-outs, and other strategic investment activities or liquidity events. You will play a critical leadership role in delivering high-value insights to clients by overseeing analyses, managing engagement workstreams, guiding junior team members, and communicating complex findings in a clear, actionable way. You will have the opportunity to work on a diverse array of transactions and interact closely with private equity investors, corporate executives, and target company leaders. You will:

  • Lead and support financial due diligence engagements for private equity investors and corporations on buy-side, sell-side, or other strategic investment activities
  • Analyze target company performance, including historical and projected operating trends, quality of earnings, revenue metrics and profitability drivers, working capital trends and needs, debt/debt-like items, and other significant potential commitments and contingencies or cash flow risks
  • Identify and analyze other financial risks or considerations associated with potential transactions, including financial reporting accuracy, internal control matters, cash vs GAAP differences, and unique/significant contractual arrangements
  • Lead discussions with client engagement teams, target management teams, and client personnel
  • Prepare client-facing due diligence reports or other analyses summarizing key findings, risks, and recommendations
  • Review and advise on financial and accounting considerations within investment models, bank finance agreements, and public debt offering documents
  • Advise on structuring purchase price adjustment mechanisms and financial/accounting definitions and terms in purchase agreements
  • Identify integration and post-transaction transition considerations, collaborating with cross-functional Deloitte specialists and teams
  • Manage multiple deals simultaneously in fast-paced environments
  • Supervise, coach, mentor, develop, and evaluate junior team members

Our M&A team offers expert guidance to corporate and private equity clients in navigating complex growth, investment and divestiture scenarios. Our services encompass M&A strategy and transaction diligence, integration and separation planning and execution, transaction structuring and financing, and portfolio value creation support.

Qualifications

Required:

  • Bachelor's degree
  • 5+ years of professional experience including Audit experience in a public accounting firm 
  • Ability to travel 25%, on average, based on the work you do and the clients and industries/sectors you serve
  • Limited immigration sponsorship may be available

Preferred:

  • CPA or CA
  • Master's degree in Finance, Accounting, or Business Administration
  • 2+ years of experience in financial due diligence 
  • Experience with Alteryx or Power BI

The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Deloitte, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $134,500-$265,100.

You may also be eligible to participate in a discretionary annual incentive program, subject to the rules governing the program, whereby an award, if any, depends on various factors, including, without limitation, individual and organizational performance.
