A nationally recognized law firm is seeking a Private Business Associate Attorney to join its Minneapolis office.

This opportunity is ideal for an attorney interested in representing privately held businesses, family-owned companies, entrepreneurs, private equity sponsors, and business owners in sophisticated corporate and transactional matters.

Ideal Background

3–6 years of corporate transactional, business, or M&A experience gained at a sophisticated law firm

• Experience representing privately held companies, closely held businesses, family-owned businesses, founders, entrepreneurs, private equity sponsors, and institutional investors

• Experience handling mergers & acquisitions, business formations, ownership transitions, corporate reorganizations, equity financings, and strategic transactions

• Experience drafting and negotiating purchase agreements, operating agreements, shareholder agreements, partnership agreements, buy-sell agreements, and other corporate governance documents

• Experience advising clients regarding corporate governance, succession planning, business operations, commercial contracts, and general corporate matters

• Experience managing sophisticated transactions from due diligence through closing

• Strong drafting, negotiation, analytical, organizational, and communication skills

• Ability to independently manage client matters while maintaining significant client interaction

• Excellent academic credentials

J.D. from an ABA-accredited law school required
