Primary Function

The Senior Corporate Counsel will report directly to the Regional General Counsel for North America. This role is a strategic legal partner to executive and functional leaders, responsible for leading complex commercial contracting matters and delivering enterprise-level legal risk management across North America. The position provides strategic counsel on high-impact transactions, negotiates and structures commercially sound agreements, drives scalable contracting processes, and proactively mitigates legal, regulatory, and reputational risk in support of growth, customer commitments, and operational excellence.

Specific Responsibilities

  • Serves as a strategic legal point of contact for North America leadership and key stakeholders; coordinates legal support with corporate, regional, and global resources to deliver consistent, business-aligned outcomes.

  • Delivers pragmatic daily guidance and strategic, risk-focused counsel to business leaders, effectively balancing legal risk, deal speed, and commercial goals; presents recommendations and escalates significant matters with clear, executive-level analysis.

  • Leads the strategic negotiation, drafting, and review of a broad portfolio of complex commercial agreements, including (without limitation) turnkey project contracts, design-build contracts, EPC contracts, master services agreements and statements of work, customer and supplier agreements, distribution/channel agreements, manufacturing and supply agreements, IT agreements, professional services and consulting agreements, NDAs, leases, and intercompany agreements.

  • Ensures agreements align with the company's strategic goals, risk appetite, contracting policies, and applicable federal, state, and local requirements; designs and operationalizes scalable contracting standards (templates, playbooks, clause libraries, and approval workflows) to drive consistency and speed.

  • Partners strategically on mergers, acquisitions, divestitures, and strategic investments, including due diligence, contract and liability review, deal support, and post-close integration planning as needed.

  • Collaborates strategically with the global legal team to align positions, share best practices, and support cross-border initiatives; may mentor junior counsel and/or contract professionals and manage outside counsel to ensure high-quality, cost-effective support.

  • Provides support for corporate governance activities, including preparing and reviewing board and committee materials, resolutions, and meeting minutes, and advising stakeholders on governance best practices.

  • Supports North America entity management, including maintenance of corporate records and coordination of filings in partnership with internal teams and external registered agent/corporate services providers.

  • Ensures compliance with corporate governance requirements.

  • Manages external service providers.

  • Provides HR functional leaders with legal support for various employment activities, including recruitment, disciplinary action, and terminations.

  • Monitors and assesses the legal and regulatory landscape affecting the company's operations.

  • Identifies potential legal risks and provides proactive advice and solutions to mitigate them.

  • Supports corporate ethics and compliance team activities, to include participating in investigations.

Education & Experience

  • Juris Doctor (J.D.) from an ABAaccredited law school, with a strong academic record.

  • Active admission to practice law and in good standing with at least one U.S. state bar; must satisfy all applicable licensing and professional responsibility requirements.

  • 7+ years of progressively responsible postqualification legal experience, including substantial experience in complex corporate governance matters, corporate and commercial transactions, regulatory compliance, and dispute management, preferably within a multinational or highly regulated environment.

  • Demonstrated ability to serve as a trusted legal advisor to senior business leaders, with experience exercising independent judgment on highrisk, highimpact legal and business issues.

  • Broad and deep expertise across multiple legal practice areas, with advanced knowledge of U.S. federal and state laws, regulations, and governance frameworks, and the ability to quickly assess and apply legal requirements in evolving business contexts.

  • Strong business acumen, including the ability to balance legal risk with commercial objectives and to deliver practical, solutionsoriented legal advice that enables strategic decisionmaking.

  • Proven ability to operate effectively in fastpaced, highpressure environments, managing multiple complex matters simultaneously while maintaining exceptional standards of accuracy, organization, and professionalism.

  • Demonstrated capability to work both autonomously and collaboratively, including leading matters independently and partnering crossfunctionally with finance, compliance, internal audit, and senior leadership.

  • Highly selfdirected and proactive, with a record of identifying legal, regulatory, and governance risks early and driving mitigation strategies without the need for close supervision.

  • Exceptional written and oral communication skills, including the ability to draft and review complex legal documents with precision, clarity, and sound judgment, and to communicate effectively with executivelevel stakeholders


The Salary range for this position is $174,750.00-$227,700.00.The specific Salary rate offered to a candidate may be influenced by a variety of factors including the candidate's experience, their education, and the work location.
