Job description

Leveraged Finance Associate Attorney (Fund Finance & Private Credit)
Location: Los Angeles or New York
Position Type: Associate

Direct Counsel is seeking a mid-to-senior level Leveraged Finance Associate to join a global AmLaw 100 firm. This role sits within a highly regarded finance group, with a particular focus on fund finance and private credit transactions. The team represents a sophisticated client base, including lead arrangers, direct lenders, subscription line lenders, NAV lenders, as well as borrowers and corporate issuers.

Key Responsibilities
  • Advise clients on a range of complex finance transactions, including fund finance, private credit, leveraged finance, and related structured finance matters
  • Draft, review, and negotiate credit agreements, commitment papers, and ancillary loan documentation
  • Manage transactions from inception through closing, including due diligence, structuring, and execution
  • Collaborate with internal teams and external stakeholders to develop strategic, business-oriented solutions
  • Conduct legal research and provide analytical support on transactional matters
  • Maintain strong client relationships through responsive communication and high-quality work product
Qualifications
  • Minimum 4+ years of relevant experience in leveraged finance, fund finance, private credit, debt capital markets, and/or structured finance
  • Experience at an AmLaw 100 firm strongly preferred
  • JD from an accredited law school and admission to practice in the applicable jurisdiction
  • Strong drafting, analytical, and organizational skills
  • Excellent written and verbal communication abilities
  • Ability to manage multiple priorities in a fast-paced environment
