Job description

  • Crusoe is seeking a Senior Counsel โ€“ Commercial Cloud Transactions to serve as a senior legal advisor supporting our commercial contracting function and strategic business initiatives
  • You will draft, review, negotiate, and advise on a broad range of strategic commercial transactions, with a primary focus on SaaS, software licensing, cloud services, AI-enabled offerings, strategic partnerships, data processing, and other commercial agreements
  • This role is well-suited for an attorney who thrives at the intersection of law and business โ€” someone who picks up a pen to find a path forward, not to put up a roadblock
  • You will partner cross-functionally with Cloud Sales, Product, Digital Infrastructure, Security, Finance, and Procurement to enable growth, manage legal risk, develop scalable contracting processes, and support the transactions that power our most ambitious AI workloads
  • Commercial & Strategic Transactions: Lead customer, procurement, and strategic commercial negotiations by drafting, reviewing, and negotiating software, SaaS and hybrid, cloud services, AI-related offerings, and strategic partnership agreements. Drive deals from intake through signature while managing stakeholder and customer communications
  • Trusted Advisor: Be a reliable, trusted advisor to internal stakeholders, providing creative and strategic legal and business counsel on commercial, operational, and strategic issues. Deliver timely, accurate responses and negotiate a challenging volume of contracts โ€” with issues ranging from straightforward to complex. Identify the issues, then solve for them
  • Process & Scale: Suggest and build improvements to our contracting process, including new standard forms and playbook variations that enhance efficiency and align to business and product requirements. Treat process improvement as a competitive advantage
  • AI-Enabled Practice: Exhibit agility and enjoyment working with AI legal technology tools, thriving on the efficiency they create. Identify which tools work for what purposes and why, and stay flexible about trying new ones
  • Pricing & Commercial Models: Lead and support strategic pricing initiatives, pricing governance projects, and commercial model optimization efforts, partnering with Finance, Global Business Operations, and business stakeholders
  • Workflow & Prioritization: Participate in our internal approval workflow system, prioritize contracts, and respond to questions from stakeholders and clients

Qualifications
  • Education & Bar: Juris Doctor (J.D.) from an accredited law school and active bar admission in good standing
  • Business Acumen: A proven ability to balance legal risk against commercial objectives, influence stakeholders well beyond the legal lane, and bring solutions to the table before anyone has to ask
  • Tech Stack: Proficiency with AI and legal technology tools, Microsoft O365 / Google Workspace, and contract management software such as Ironclad
  • Technical Fluency: Strong understanding of technology, including cloud services, software licensing models, information security, privacy, intellectual property, and regulatory considerations, plus experience supporting AI-enabled products and emerging technology issues
  • Experience: Eight (8) or more years of relevant experience in-house and/or at a law firm supporting technology transactions, with extensive experience negotiating SaaS, software, cloud services, professional services, data processing, strategic partnership, and enterprise commercial agreements in complex contracting environments
  • Negotiation Craft: Demonstrated skill drafting and negotiating complex software, SaaS and hybrid cloud agreements, master agreements, professional services agreements, and software development agreements, with a genuine love for the craft of contract work
  • Working Style: Intelligence, flexibility, creativity, diligence, resourcefulness, responsiveness, strong organizational skills, attention to detail, and a positive, collaborative, low-ego instinct
  • Basic knowledge of data privacy laws and practices in a SaaS context involving the security and processing of customer data that may include personal information
  • Understanding of software development, SaaS infrastructure and services, open-source communities, and intellectual property concepts and laws
  • Prior experience at a startup, AI company, digital infrastructure, or high-growth venture business
