Role Overview

Our Client is seeking a high-caliber 2nd to 6th-year Real Estate Transactional Associate to join its premier, dedicated Joint Venture practice group in Miami. This is an exceptional opportunity to take immediate, hands-on deal ownership on complex transactions valued from hundreds of millions to over a billion dollars. Working directly alongside nationally recognized practice leaders in an apprenticeship-style environment, you will advise top-tier institutional investors, private equity funds, developers, and family offices across all major real estate asset classes.

Key Responsibilities

  • Structure, draft, and negotiate complex real estate joint venture agreements, LLC operating agreements, and partnership frameworks across multifamily, commercial, industrial, hospitality, and mixed-use developments nationwide.
  • Craft multi-tier capital stacks, including preferred equity arrangements, tiered distribution waterfalls, buy-sell provisions, and governance mechanics.
  • Partner with senior team members to weave tax-efficient strategies into sophisticated deal structures.
  • Interface directly with institutional partners, developers, and private equity sponsors on live client calls and negotiation sessions.
Requirements

Qualifications & Requirements

  • Experience: 2 to 6 years of real estate transactional experience at a sophisticated law firm, with demonstrated exposure to joint venture, LLC, or partnership structuring.
  • Education: J.D. from an accredited U.S. law school with strong academic credentials.
  • Bar Admission: Active admission or immediate eligibility for admission to the Florida Bar.
  • Work Style: Strong commitment to a collaborative, in-office apprenticeship culture (3 to 4 days per week in-office minimum).
  • Nice-to-Have: An LL.M. in Taxation or coursework in partnership tax is a plus, though a strong interest in learning tax-integrated deal structuring on the job is equally welcome.
  • Authorization: U.S. work authorization required (no visa sponsorship provided).
